Konkurentsiamet andis Tallinna Linnale ning OÜ-le Utilitas loa ühise valitseva mõju omandamiseks AS Tallinna Vesi üle
Teade
Konkurentsiamet tegi 09.03.2021 otsuse, millega andis Tallinna Linnale ja Osaühingule Utilitas loa ühise valitseva mõju omandamiseks AKTSIASELTS TALLINNA VESI üle. Tallinna Linn koos OÜ-ga Utilitas sõlmisid United Utilities (Tallinn) B.V-ga (müüja) aktsiate müügilepingu, mille kohta on info avaldatud emitendi varasemates börsiteadetes 03.02.2021 (Siin: Olulise osaluse kavandatavad muutused (omxgroup.com) (https://cns.omxgroup.com/cdsPublic/viewDisclosure.action?disclosureId=1002778&m essageId=1255900) ) (parandusega 11.02.2021- siin: PARANDUSTEADE: Olulise osaluse kavandatavad muutused (omxgroup.com) (https://cns.omxgroup.com/cdsPublic/viewDisclosure.action?disclosureId=1004087&m essageId=1257555)) ja 11.02.2021 (Siin: AS-i Tallinna Vesi olulise osalusega aktsionäride ja OÜ Utilitas vahel sõlmitud aktsiate müügilepingu jõustumine (omxgroup.com) (https://cns.omxgroup.com/cdsPublic/viewDisclosure.action?disclosureId=1004264&m essageId=1257779)). Konkurentsiameti luba on aktsiate müügilepingu alusel tehingu lõpuleviimise tingimuseks. Tehingu lõpuleviimise kohta teeb AKTSIASELTS TALLINNA VESI eraldi teate. Pooled planeerivad tehingu lõpule viia 31.märtsil 2021. Tehingu lõpuleviimise järgselt kuulub Tallinna Linnale 52,35% AKTSIASELTS TALLINNA VESI aktsiakapitalist ja OÜ-le Utilitas 17,65% AKTSIASELTS TALLINNA VESI aktsiakapitalist. Competition Authority decided on 09/03/2021 to grant the City of Tallinn and Osaühing Utilitas the permission to exercise joint dominant influence over AKTSIASELTS TALLINNA VESI. The City of Tallinn and OÜ Utilitas entered into a share sale agreement with United Utilities (Tallinn) B.V. (the seller), on which the information was disclosed by the issuer in the earlier stock notices on 03/02/2021 (here: Contemplated changes in substantial shareholding (omxgroup.com) (https://cns.omxgroup.com/cdsPublic/viewDisclosure.action?disclosureId=1002778&m essageId=1255899)) (with correction on 11/02/2021 - here: CORRECTION: Contemplated changes in substantial shareholding (omxgroup.com) (https://cns.omxgroup.com/cdsPublic/viewDisclosure.action?disclosureId=1004087&m essageId=1257556)) and on 11/02/2021 (here: Entry into force of the share sale agreement between OÜ Utilitas and the shareholders with substantial shareholding in AS Tallinna Vesi (omxgroup.com) (https://cns.omxgroup.com/cdsPublic/viewDisclosure.action?disclosureId=1004264&m essageId=1257778)). Competition Authority's permission is a condition precedent to the completion of the transaction under the share sale agreement. AKTSIASELTS TALLINNA VESI will release a separate notice on the completion of the transaction. The parties intend to complete the transaction on 31/03/2021. As a result of the transaction, the City of Tallinn will hold 52.35% of the share capital of AKTSIASELTS TALLINNA VESI and OÜ Utilitas will hold 17.65% of the share capital of AKTSIASELTS TALLINNA VESI.
