Conclusion of the loan agreement

The Management Board of ATLANTIS SE in Tallinn, hereby informs that on 31/12/2019 the Issuer concluded as a Lender a Cash Loan Agreement with Patro Invest OÜ with its registered office in Tallinn, Estonia (number in the Ariregister register Estonia: 14381342) as the Borrower.

Under the Agreement of 31/12/2019 the Issuer granted to the Borrower a cash loan in the amount of PLN 12.153.000 (in words: twelve milion one hundred fifty-three thousand) for the period to 31/12/2024. The loan bears interest at the variable WIBOR interest rate for 1-month deposits + 0.5%.

The parties agreed that interest on the loan will be calculated on a monthly basis and will be payable once together with the repayment of the entire loan on 31/12/2024.

The parties of the loan agreement have agreed that the Issuer has the right to demand earlier repayment of all or part of the principal of the loan granted.

Pursuant to the terms of the concluded Loan Agreement the loan will be paid out on the day of conclusion of the Agreement.

The Issuer secured the repayment of the loan amount together with interest and any other claims that may arise from the concluded Agreement by receiving from the Borrower a blank promissory note together with a promissory note declaration.

The Issuer also informs that there are personal ties between ATLANTIS SE and Patro Invest OÜ headquartered in Tallinn, Estonia. The Chairman of the Issuer's Management Board acts as the Chairman of the Borrower's Management Board.

Moreover, the Issuer informs that the Borrower is the Issuer's significant Shareholder (63,6%).
