Aktsiakapitali vähendamise registreerimine äriregistris ja väljamaksed

14. septembril 2018 kanti äriregistrisse Nordecon AS-i aktsiakapitali vähendamine 23. mail 2018 toimunud aktsionäride üldkoosoleku otsuse alusel. Aktsionäride üldkoosoleku otsuse kohaselt otsustati vähendada Nordecon AS-i aktsiakapitali 1 942 528,98 euro võrra 18 263 543,68 eurolt 16 321 014,70 euroni. Aktsiakapitali vähendatakse aktsiate arvestusliku väärtuse vähendamise teel 0,06 euro võrra aktsia kohta. Aktsiaseltsi aktsiate koguarv ei muutu ning aktsiate arvestuslik väärtus väheneb võrdeliselt aktsiakapitali vähendamisega. Aktsiakapitali vähendamise tulemusena on Nordecon AS-i aktsiakapitali suurus 16 321 014,70 eurot, mis jaguneb 32 375 483 nimiväärtuseta aktsiaks. Aktsiakapitali vähendamine summas 0,06 eurot aktsia kohta makstakse välja aktsionäridele 18. detsembril 2018. Nordecon AS-le kuuluvate oma aktsiate eest aktsiaseltsile väljamakseid ei tehta. Aktsiate arvestusliku väärtuse vähendamisest tulenevate väljamaksete saamiseks õigustatud aktsionäride nimekiri fikseeriti 6. juunil 2018 a. arveldussüsteemi tööpäeva lõpu seisuga. Nordeconi kontsern (www.nordecon.com (http://www.nordecon.com)) hõlmab ettevõtteid, mis on keskendunud hoonete ja rajatiste ehitamise projektijuhtimisele ja peatöövõtule. Registration of share capital reduction in the Commercial Register and disbursements

On 14 September 2018 the decrease of the share capital of Nordecon AS was registered in the Commercial Register based on the resolution adopted by the general meeting of shareholders held on 23 May 2018. Pursuant to the resolution of the general meeting of shareholders the share capital will be decreased by 1,942,528.98 euros from 18,263,543.68 euros to 16,321,014.70 euros. The share capital will be decreased by reducing the book value of the shares by 0.06 euro. The total number of the shares of the company will not change and the book value of shares shall be reduced proportionately to the reduction of the share capital. As a result of the decrease of the share capital, the share capital of Nordecon AS will be 16,321,014.70 euros that is divided into 32,375,483 shares with book value. The share capital reduction in the amount of 0.06 euro per share will be paid out to the shareholders on 18 December 2018. For the own shares owned by Nordecon AS no payments shall be made to the company. The list of shareholders entitled to receive the payments from the reduction of the share capital was fixed on 6 June 2018 as at the end of the working day of the settlement system.
