Teade vahetusvõlakirjade PKG3 lunastustähtaja pikendamisest ja osalisest lunastamisest
Teade
AS Pro Kapital Grupp teatab, et on pikendanud 838 984 ?Pro Kapital Grupp vahetusvõlakiri PKG3 10.08.2014" vahetusvõlakirja (edaspidi nimetatud kui vahetusvõlakirjad PKG3) lunastustähtaega 2 aasta võrra. Uueks lunastustähtajaks on 10.08.2020 (edaspidi nimetatud kui lunastuspäev). AS Pro Kapital Grupp lunastab 27.08.2018.a 1 200 vahetusvõlakirja PKG3. AS Pro Kapital Grupp on esitanud Nasdaq Väärtpaberite Keskdepositooriumile taotluse vahetusvõlakirjade PKG3 lunastustähtaja muutmiseks. Kokku pikendati vahetusvõlakirju PKG3 väljalaskehinnas 2 349 155,20 eurot ja 27.08.2018.a lunastatakse vahetusvõlakirju PKG3 väljalaskehinnas 3 360 eurot. Vahetusvõlakirjad kannavad intressi 7% kalendriaastas ja annavad vahetusvõlakirja omanikule õiguse vahetada ühe vahetusvõlakirja ühe AS Pro Kapital Grupp aktsia vastu. Iga vahetusvõlakirja väljalaskehind on 2,80 eurot vahetusvõlakirja kohta. AS Pro Kapital Grupp aktsiate märkimiseks ja võlakirjade vahetamiseks nende vastu peab võlakirjaomanik esitama ettevõttele taotluse vähemalt 10 (kümme) tööpäeva enne vahetuspäeva. Vahetuspäevaks on ükskõik milline tööpäev (iga päev, mis ei ole (a) laupäev, (b) pühapäev, (c) Eesti rahvuspüha, (d) riigipüha või (e) muu päev, mil Eesti väärtpaberite keskregistri (EVK) pidaja ei registreeri EVK-s väärtpabereid) kuni võlakirja kehtivuse viimase päevani ehk lunastuspäevani. Notice of prolongation of redemption date and partial redemption of convertible bonds PKG3
Teade
??AS Pro Kapital Grupp informs that it has prolonged the redemption date of 838 984 "Pro Kapital Grupp convertible bond PKG3 10.08.2014" (hereinafter referred to as Convertible Bonds PKG3) by 2 years and the new redemption date is 10.08.2020 (hereinafter referred to as the redemption date). On August 27(th), 2018 AS Pro Kapital Grupp shall be redeeming 1 200 Convertible Bonds PKG3. AS Pro Kapital Grupp has submitted the relevant application to the Nasdaq Central Depository of Securities to change the redemption date of Convertible Bonds PKG3. In total, Convertible Bonds PKG3 were prolonged with total issue price of 2 349 155,20 euros and on August 27(th), 2018 convertible bonds PKG3 are going to be redeemed with total issue price of 3 360 euros. The convertible bonds bear an annual interest of 7% and give the holders of the convertible bonds the right to exchange one convertible bond for one share of AS Pro Kapital Grupp. The issue price of each convertible bond is 2,80 euros. In order to subscribe for the shares of AS Pro Kapital Grupp and exchange the bonds, the bondholder must submit an application to the Company at least 10 (ten) Business Days before the Exchange Date. The Exchange Date shall be each Business Day (a day other than (a) a Saturday, (b) a Sunday, (c) Estonian national holiday, (d) public holiday or (e) another day when the registrar of the Register does not register securities) until the expiration date of the Bond, i.e. until the date of its redemption.
