PRF: Äriühingu Oy Trio Trading Ab omandamise tehingu täitmine

Tallinn, Eesti, 2017-08-30 11:32 CEST (GLOBE NEWSWIRE) -- AS PRFoods (PRF), PRF-i konsolideerimisgruppi kuuluv AS Saaremere Kala (Omandav Ühing) ja Ville Sammallahti, Mats Storbjörk ja Heikki Sammallahti (igaüks eraldi Müüja, ühiselt Müüjad) sõlmisid 31.07.2017 aktsiate müügilepingu (Leping), mille kohaselt Omandav Ühing omandab Müüjatelt 100%-lise osaluse äriühingus Oy Trio Trading Ab (Trio). Tehingule andis heakskiidu 28.08.2017 toimunud PRF erakorraline üldkoosolek, mis kiitis tehingu heaks vastavalt 01.08.2017 avaldatud tehingu tingimustele (tingimused leitavad siit: https://cns.omxgroup.com/cdsPublic/viewDisclosure.action?disclosureId=785451&mes sageId=987741) ja üldkoosoleku käigus antud informatsioonile (üldkoosoleku presentatsioon ja protokoll leitavad siit: http://prfoods.ee/investorile/aktsionaride-uldkoosolek/28082017egm/egm-otsused). Käesolevaga teatab PRF tehingu täitmisest vastavalt avaldatud tehingu tingimustele (tasutud on tingimustes nimetatud ostuhind Trio aktsiate omandi üleandmise vastu). Täiendavalt teavitab PRF, et ellu on viidud ka kavandatud muudatused Trio juhtkonnas. Jätkavad Trio senised juhatuse liikmed Mats Storbjörk (sünniaeg 04.03.1965) ja Ville Sammallahti (sünniaeg 19.02.1980) ning juhatuse esimees on Indrek Kasela. Mats Storbjörk on tegutsenud Trio juhatuse liikmena alates 2007 aastast vastutades ostu- ja administratiivvaldkonna juhtimise eest. Mats Storbjörk omab Master of Science kraadi majanduses (Svenska Handelshögskolan / Hanken School of Economics). Ville Sammallahti on tegutsenud Trio juhatuse liikmena alates 2007 aastast vastutades müügi- ja tootmisvaldkonna juhtimise eest. Ville Sammallahti omab keskharidust. Täiendavalt on Ville Sammalahti juhatuse asendusliige järgnevates ühingutes: Kuljetus Heikki Sammallahti Oy ja Kuljetus S. Luokkala Oy. Mats Storbjörk ja Ville Sammallahti ei oma PRF aktsiaid. PRF: Completion of Acquisition of Oy Trio Trading Ab

Tallinn, Estonia, 2017-08-30 11:32 CEST (GLOBE NEWSWIRE) -- On 31 July in 2017, AS PRFoods (PRF), AS Saaremere Kala, a company belonging to PRF consolidation group (the Acquiring Company), and Ville Sammallahti, Mats Storbjörk ja Heikki Sammallahti (each separately the Seller and all together the Sellers) executed a share purchase agreement (the Agreement) under which the Acquiring Company acquires from the Sellers 100% shareholding in Oy Trio Trading Ab (Trio). The transaction was approved by the extraordinary general meeting of PRF on 28 August 2017 based on terms and conditions published on 01 August 2017 (the terms and conditions can be found here: https://cns.omxgroup.com/cdsPublic/viewDisclosure.action?disclosureId=785451&mes sageId=987740) and information given at the general meeting (presentation and meeting minutes can be found here: http://prfoods.ee/investor-relations/shareholders-meetings/28082017egm/2017-egm- decisions). Hereby PRF announces completion of the transaction according to the published terms and conditions of the transaction (the purchase price set forth in the terms and conditions has been paid upon the transfer of ownership of Trio shares). Furthermore, PRF informs the contemplated changes in the management of Trio. Current board members of Trio Mats Storbjörk (date of birth 4 March 1965) and Ville Sammallahti (date of birth 19 February 1980) are continuing as members of board of directors and Indrek Kasela is chairman of the board of directors of Trio. Mats Storbjörk has been a member of the board of directors of Trio since 2007 being responsible for managing purchases and administrative area. Mats Storbjörk has Master of Science degree in economics (Svenska Handelshögskolan / Hanken School of Economics). Ville Sammallahti has been a member of the board of directors of Trio since 2007 being responsible for sales and production. Ville Sammallahti has comprehensive school education. Additionnally Ville Sammalahti is a deputy board member in the following companies: Kuljetus Heikki Sammallahti Oy and Kuljetus S. Luokkala Oy. Mats Storbjörk and Ville Sammallahti do not own any PRF shares. The transaction was financed by AS SEB Pank.
