Aktsiakapitali vähendamise registreerimine äriregistris ja väljamaksed
Teade
16. septembril 2016 kanti äriregistrisse Nordecon AS-i aktsiakapitali
vähendamine 25. mail 2016 toimunud aktsionäride üldkoosoleku otsuse alusel.
Aktsionäride üldkoosoleku otsuse kohaselt otsustati vähendada Nordecon AS-i
aktsiakapitali 971 264,49 euro võrra 20 691 704,91 eurolt 19 720 440,42 euroni.
Aktsiakapitali vähendatakse aktsiate arvestusliku väärtuse vähendamise teel
0,03 euro võrra aktsia kohta. Aktsiaseltsi aktsiate koguarv ei muutu ning
aktsiate arvestuslik väärtus väheneb võrdeliselt aktsiakapitali vähendamisega.
Aktsiakapitali vähendamise tulemusena on Nordecon AS-i aktsiakapitali suurus 19
720 440,42 eurot, mis jaguneb 32 375 483 nimiväärtuseta aktsiaks.
Aktsiakapitali vähendamine summas 922 701,84 eurot (0,03 eurot aktsia kohta)
makstakse välja aktsionäridele 19. detsembril 2016. Nordecon AS-le kuuluvate
oma aktsiate eest aktsiaseltsile väljamakseid ei tehta.
Aktsiate arvestusliku väärtuse vähendamisest tulenevate väljamaksete saamiseks
õigustatud aktsionäride nimekiri fikseeriti 8. juunil 2016. a. kella 23:59
seisuga.
Nordeconi kontsern (www.nordecon.com) hõlmab ettevõtteid, mis on keskendunud

Registration of share capital reduction in the Commercial Register and disbursements
Teade
On 16 September 2016 the decrease of the share capital of Nordecon AS was
registered in the Commercial Register based on the resolution adopted by the
general meeting of shareholders held on 25 May 2016.
Pursuant to the resolution of the general meeting of shareholders the share
capital will be decreased by 971,264.49 euros from 20,691,704.91 euros to
19,720,440.42 euros. The share capital will be decreased by reducing the book
value of the shares by 0.03 euro. The total number of the shares of the company
will not change and the book value of shares shall be reduced proportionately
to the reduction of the share capital. As a result of the decrease of the share
capital, the share capital of Nordecon AS will be 19,720,440.42 euros that is
divided into 32,375,483 shares with book value.
The share capital reduction in the amount of 922,701.84 euros (0.03 euro per
share) will be paid out to the shareholders on 19 December 2016. For the own
shares owned by Nordecon AS no payments shall be made to the company.
The list of shareholders entitled to receive the payments from the reduction of
the share capital was fixed on 8 June 2016 at 11:59 p.m.
