Osaluse omandamine Norra ehitusettevõttes Peritus Entreprenør AS

Tallinn, Eesti, 2016-03-07 15:30 CET (GLOBE NEWSWIRE) -- 07. märtsil 2016 sõlmis AS Merko Ehitus kontserni tütarettevõte Merko Investments AS lepingud Norra ettevõtetega SDV Holding AS ja Aucon AS 56%lise osaluse omandamiseks Norra ehitusettevõttes Peritus Entreprenør AS. Norras registreeritud Merko Investments AS kuulub 100%liselt AS-le Merko Ehitus. Peritus Entreprenør AS (www.peritus-entreprenor.no) on üldehitusteenust pakkuv Norra ehitusettevõte, mis on asutatud 2014. aastal ja mille 2015. aasta müügikäive oli ca 7 miljonit eurot. Ettevõtte senised omanikud jätkavad osalemist ettevõtte igapäevases juhtimises ja säilitavad 44% osaluse. Poolte kokkuleppel tehingu hinda ega muid tingimusi ei avalikustata. Osaluse omandamise eesmärk on ehitusteenuse pakkumine Norra turul. Tehing ei ole käsitletav olulise osaluse omandamisega NASDAQ Tallinna Börsi reglemendi osa „Nõuded Emitentidele“ tähenduses. Acquisition of a shareholding in Norwegian construction company Peritus Entreprenør AS

Tallinn, Estonia, 2016-03-07 15:30 CET (GLOBE NEWSWIRE) -- On 7 March 2016, Merko Investments AS, part of AS Merko Ehitus group, has signed contracts with Norwegian companies SDV Holding AS and Aucon AS to acquire 56% stake in Norwegian construction company Peritus Entreprenør AS. Merko Investments AS, registered in Norway, is 100% subsidiary of AS Merko Ehitus. Peritus Entreprenør AS (www.peritus-entreprenor.no) is Norwegian construction company, offering general construction services. The company was established in 2014 with the sales turnover of approximately 7 million euros in 2015. The former owners will continue to participate in the daily management of the company and they keep their 44% stake. The parties have agreed not to disclose the price or other conditions of the transaction. The aim of the acquisition is to start offering construction services on Norwegian market. The transaction is not to be treated as a significant transfer for the purposes of the “Requirements for Issuers” section of the NASDAQ Tallinn Stock Market rules.
