Kohtu vaheotsuse jõustumine

Nordecon AS on 2012. a majandusaasta aruandes (Lisa 36) ja 2013. a
vahearuannetes (Lisa 15) kirjeldanud kohtuprotsessi seoses kontserni kuuluva
Eurocon OÜ vähemusosaniku poolt esitatud hagiga temale kuuluvate osade
väljaostu nõudmise kohta summas 538 tuhat eurot. 

Nordecon AS esitas hagi Eurocon OÜ vähemusosaniku vastu kahjude korvamiseks
(summas 586 tuhat eurot), mis on tekkinud olukorraga, kus vähemusosanik ei ole
võimeline endale kuuluvat Eurocon OÜ osa üle andma kokkulepitud väärtuses.
Harju Maakohus otsustas jätta Nordecon AS hagi rahuldamata. Nordecon AS esitab
apellatsioonikaebuse Tallinna Ringkonnakohtule. 



Nordeconi kontsern hõlmab ettevõtteid, mis on keskendunud hoonete ja rajatiste
ehitamise projektijuhtimisele ja peatöövõtule. Geograafiliselt tegutsevad
kontserni ettevõtted täna Eestis, Ukrainas ja Soomes. Kontserni emaettevõte
Nordecon AS on registreeritud ja asub Tallinnas, Eestis. Kontserni kuulub
lisaks emaettevõttele üle 10 tütarettevõtte. Kontserni 2012. aasta
konsolideeritud müügitulu oli 159,4 miljonit eurot. Nordeconi kontsern annab
hetkel tööd üle 700 inimesele. Alates 18.05.2006 on emaettevõtte aktsiad

Interim court ruling

Nordecon AS has in its 2012 annual report (Note 36) and 2013 interim reports
(Note 15) described the court proceedings regarding the claims made by
non-controlling shareholder in the Group’s subsidiary Eurocon OÜ seeking that
Nordecon AS purchase his share in Eurocon OÜ for 538 thousand euros. 

Nordecon AS has filed a claim against the non-controlling shareholder to seek
compensation (538 thousand euros) for damages that have resulted since the
shareholder is not able to transfer the shares in the agreed upon value. The
first instance Harju County Court has decided to deny action on Nordecon AS’s
claim. Nordecon AS will present an appeal to next level circuit court (Tallinn
Circuit Court).
