Jõustusid Merko Ehituse kontsernisisesed struktuurimuudatused

Tallinn, Eesti, 2012-01-02 15:35 CET (GLOBE NEWSWIRE) -- Vastavalt AS Merko Ehitus nõukogu otsusele 30. detsembrist 2011 jõustusid AS-i Merko Ehitus kontsernisisesed struktuurimuudatused, mille kohaselt kontserni kogu ehitustegevus Eestis viiakse alates 1. jaanuarist 2012 üle AS-i Merko Ehitus Eesti. Tehingu tehniline lõpuleviimine on kavas läbi viia järk-järgult 2012. aasta I poolaasta jooksul. Tegemist on noteeritud ettevõtte sisemise struktuurimuudatusega ning sellega ei kaasne muutusi börsiettevõtte varade väärtuses ega aktsionäride ringis. Pärast muudatuste lõpuleviimist tegutseb AS Merko Ehitus valdusettevõttena, millele kuuluvad 100%-lised osalused ehitusettevõtetes AS Merko Ehitus Eesti, SIA Merks ja UAB Merko Statyba, samuti ka kontserni kinnisvaraarenduse äriüksus koos kinnisvara omavate äriühingutega (OÜ Woody, OÜ Constancia ja OÜ Metsailu). AS-i Merko Ehitus juhatuse esimees on alates 1. jaanuarist 2012 Andres Trink. AS Merko Ehitus juhatuse liikmetena jätkavad Viktor Mõisja ja Alar Lagus. Ettevõtte nõukogu jätkab samas kooseisus, nõukogu esimees Toomas Annus ja liikmed Tõnu Toomik, Teet Roopalu, Indrek Neivelt ja Olari Taal. AS-i Merko Ehitus Eesti juhatuse esimees on alates 1. jaanuarist 2012 Tiit Roben. AS Merko Ehitus senised juhatuse liikmed Jaan Mäe, Andres Agukas, Alar Lagus ja Veljo Viitmann on alates 1. jaanuarist 2012 AS-i Merko Ehitus Eesti juhatuse liikmed. AS Merko Ehitus Eesti nõukogu liikmed on alates 1. jaanuarist 2012 Andres Trink, Tõnu Toomik, Teet Roopalu ja Taavi Ojala. Structural changes in the Merko Ehitus group entered into force

Tallinn, Estonia, 2012-01-02 15:35 CET (GLOBE NEWSWIRE) -- Pursuant to the decision of the Supervisory Board of AS Merko Ehitus dated 30 December 2011 the structural changes in the Merko Ehitus group entered into force. According to the changes, all the construction activities of the group in Estonia will be transferred to AS Merko Ehitus Eesti as of 1 January 2012. The technical completion of the transaction is planned to be realised gradually during the first half of the year 2012. This is an internal structural change in the listed company and does not entail any changes in the assets value or ownership of the listed company. After the completion of the changes, AS Merko Ehitus will operate as a holding company, which holds the 100% participations of the construction companies AS Merko Ehitus Eesti, SIA Merks and UAB Merko Statyba, as well as the real estate development business unit of the group together with its companies that own real estate (OÜ Woody, OÜ Constancia and OÜ Metsailu). As of 1 January 2012, the Chairman of the Board of AS Merko Ehitus will be Andres Trink. Viktor Mõisja and Alar Lagus will continue as Members of the Board of AS Merko Ehitus. The Supervisory Board of the company will continue in the same membership – Chairman of the Supervisory Board Toomas Annus and members Tõnu Toomik, Teet Roopalu, Indrek Neivelt and Olari Taal. As of 1 January2012, the Chairman of the Board of Merko Ehitus Eesti will be Tiit Roben. The Members of the Board of AS Merko Ehitus who have served so far - Jaan Mäe, Andres Agukas, Alar Lagus and Veljo Viitmann will be Members of the Board of AS Merko Ehitus Eesti.
