Muudatus Nordecon International kontserni struktuuris

Nordecon International AS ja tema 100%-line tütarettevõte Nordecon Ehitus AS sõlmisid aktsiate müügilepingu, millega Nordecon International AS müüs kogu oma 97,7% suuruse osa ettevõttes AS Eston Ehitus kontserni ettevõttele Nordecon Ehitus AS. Nimetatud tehingu näol on tegemist kontsernisisese ümberstruktureerimisega, mille käigus ei muutunud Nordecon International kontserni osalus ettevõttes AS Eston Ehitus. Osa ülemineku päevaks on lepingu kohaselt 31.12.2009. AS Eston Ehitus on Eesti Vabariigis tegutsev Nordecon International kontserni tütarettevõte, mille põhitegevuseks on ehituse projektijuhtimine ja peatöövõtt peamiselt Lääne-Eesti piirkonnas. Ümberstruktureerimine tehti lähtuvalt Nordecon International kontserni strateegiast aastateks 2009-2013. Strateegia kohaselt on Nordecon International AS valdusettevõte, mis keskendub Kontserni strateegilisele- ning tugiteenuste juhtimisele. Põhitegevust läbi viivad ettevõtted koondatakse kõik vastavalt kas hoonete või rajatiste ehitamisega tegelevatesse alamkontsernidesse. Tehing ei avalda olulist mõju Nordecon International kontserni tegevusele ega ole käsitletav olulise osaluse omandamisena NASDAQ OMX Tallinna Börsi reglemendi osa "Nõuded Emitentidele" tähenduses. Nordecon International AS nõukogu ja juhatuse liikmed ei ole tehingust muul viisil isiklikult huvitatud. Nordecon International kontsern hõlmab ettevõtteid, mis on keskendunud hoonete ja rajatiste ehitamise projektijuhtimisele ja peatöövõtule. Geograafiliselt tegutsevad kontserni ettevõtted Eestis, Lätis, Leedus ja Ukrainas. Eestis on täiendavateks tegevusvaldkondadeks lisaks teedeehituse ja -hoolduse ning keskkonnaehituse ja betoonitööde otsetöövõtt. Kontserni emaettevõte on Nordecon International AS, mis on registreeritud ja asub Tallinnas, Eestis. Kontserni kuulub lisaks emaettevõttele üle 20 tütarettevõtte. Kontserni 2008. aasta konsolideeritud müügitulu oli 3,9 miljardit krooni (247 miljonit eurot) ja konsolideeritud puhaskasum 171 miljonit krooni (11 miljonit eurot). Nordecon International kontsern annab tööd rohkem kui 1 000 inimesele. Changes in Nordecon International Group structure

Nordecon International AS and its wholly-owned subsidiary Nordecon Ehitus AS signed a share purchase agreement by which Nordecon International AS sold its 97.7 per cent shareholding in Estonian company AS Eston Ehitus to Group company Nordecon Ehitus AS. This is an intergroup restructuring and as a result there is no change in Group's participation in AS Eston Ehitus shareholding. The title of the shares passes as per agreement on 31 December 2009. AS Eston Ehitus is a Nordecon International Group company domiciled in Estonia. The company's activities include construction project management and general construction mainly in Western Estonia. The restructuring was made in line with Nordecon International Group strategy for 2009-2013. As per strategy Nordecon International AS is a holding company that is responsible for Group's strategic management and management of the support processes. Companies related to principal activities of the Group are transferred to subgroups responsible for operations either in buildings or infrastructure segment. The transaction does not have material economical effect on the activities of Nordecon International Group and does not qualify as an acquisition of significant holding within the meaning of “Requirements for Issuers” of the NASDAQ OMX Tallinn Stock Exchange regulations. The members of the supervisory board and management board of Nordecon International AS do not have any other personal interests in the incorporation of the company. Nordecon International is a group of construction companies whose core business is general contracting and construction management in the construction of buildings and infrastructures in Estonia, Latvia, Lithuania and Ukraine. In addition, in Estonia our companies act as independent contractors in road construction and maintenance, environmental engineering, the assembly of reinforced concrete elements, and the performance of cast-on-site concrete works. The parent of the Group is Nordecon International AS, a company registered and located in Tallinn, Estonia. In addition to the parent company, there are more than 20 subsidiaries in the Group. The consolidated revenue of the Group in 2008 was 3.9 billion kroons (247 million euros) and the consolidated net profit was 171 million kroons (11 million euros). Nordecon International Group employs more than 1,000 people.
