AS MERKO EHITUS JAGUNEMINE: UUE ETTEVÕTTE AKTSIONÄRIDE NIMEKIRJA FIKSEERIMISE AEG

03.06.2008.a toimunud AS Merko Ehitus aktsionäride korraline üldkoosolek kiitis heaks 30.04.2008.a allkirjastatud AS Merko Ehitus jagunemiskava. Jagunemine viiakse lõpule kande tegemisega äriregistrisse. AS Merko Ehitus juhatus otsustas, et uue AS-i Merko Ehitus aktsiaid saama õigustatud aktsionäride nimekiri fikseeritakse seisuga 31.07.2008.a. kell 23:59. Uue ettevõtte aktsionärideks saavad AS Merko Ehitus aktsionärid asendussuhtega 1:1. Uue ettevõtte aktsiad kantakse aktsionäride väärtpaberikontodele peale AS Merko Ehitus jagunemise äriregistrisse kandmist, eeldatavalt 01.08.2008. Ettevõtte juhatus teeb kõik ettevalmistavad toimingud, et uue ettevõtte aktsiatega kauplemine Tallinna Börsi põhinimekirjas saaks alata 11.08.2008. Juhul kui eeltoodud ajakavas peaks toimuma muudatusi, teavitatakse sellest eraldi börsiteatega. Alar Lagus Juhatuse liige 6 805 105 merko@merko.ee

DIVISION OF AS MERKO EHITUS: THE DATE OF FIXING THE LIST OF SHAREHOLDERS ENTITLED TO THE SHARES OF THE NEW COMPANY

Annual general meeting of shareholders of AS Merko Ehitus held on 03.06.2008
approved the division plan of AS Merko Ehitus, dated 30.04.2008. The division
will be completed by entry of the division in the Commercial Register.
The management board of AS Merko Ehitus decided that the list of the persons
entitled to the shares in new AS Merko Ehitus will be fixed on 31.07.2008 at
23:59. The shareholders of AS Merko Ehitus will become the shareholders of the
new AS Merko Ehitus at the share exchange rate of 1:1. The shares of the new AS
Merko Ehitus will be transferred to the securities accounts of the shareholders
after entry of the division in the commercial register, which is expected to
take place on 01.08.2008. The management of the company carries out all
preparatory steps on their side to ensure that trading with the shares of new
company on the main list of the Tallinn Stock Exchange could start on
11.08.2008. Any change in the aforementioned time-schedule will be announced
through separate stock exchange releases.
