Kavatsus emiteerida esimese taseme täiendavatesse omavahenditesse kuuluvaid võlakirju
Message
Coop Pank AS (edaspidi Pank) kavatseb viia juunis läbi Panga esimese taseme täiendavatesse omavahenditesse (AT1) kuuluvate võlakirjade suunatud emissiooni. Tulenevalt AT1 võlakirjade keerukusest ei pakuta neid avalikult ning pakkumine on suunatud üksnes piiratud ringile valitud investoritele. Pakkumisele tuleb kuni 100 võlakirja nimiväärtusega 100 000 eurot, intressimääraga 10% aastas, mida makstakse kvartaalselt. Pangal on õigus otsustada pakkumise mahu vähendamist või suurendamist tulenevalt investorite huvist. AT1 võlakirju pakutakse hinnaga 100 000 eurot ühe võlakirja kohta. AT1 võlakirjade märkimisperiood on vahemikus 13. juuni 2022 - 16. juuni 2022 ning pakkumise tulemustest teavitab Pank eraldi. AT1 võlakirjad on tähtajatud ning tegemist on Panga tagamata võlakohustusega investori ees. Pangal on õigus AT1 võlakirjad lunastada Finantsinspektsiooni loal pärast 5 aasta möödumist nende emiteerimisest. Coop Panga juhatuse esimehe Margus Rinki sõnul on pank näidanud aasta esimesel viiel kuul kiiret kasvu ning AT1 võlakirjade emissioonist saadavaid vahendeid kasutatakse panga omakapitali baasi tugevdamiseks. Intention to issue notes qualifying as Additional Tier 1 own funds

Coop Pank AS (the Bank) intends to carry out a non-public issue of notes qualifying as Additional Tier 1 (AT1) own funds of the Bank. Due to the complexity of AT1 notes, the notes are not offered publicly, and the offer is only directed to a limited number of selected investors. In the course of the offering, up to 100 notes with nominal value of 100 000 EUR, interest rate 10% per annum, payable quarterly, are offered. The Bank has the right to decide to increase or decrease the volume of the issue due to the interest of investors. The AT1 notes are offered with the price of 100 000 EUR per note. The subscription period for the AT1 notes is between 13 June 2022 - 16 June 2022 and the results will be announced by the Bank separately. AT1 notes are perpetual and represent an unsecured debt obligation of the Bank before the investor. The Bank may redeem the AT1 notes on the basis of a permission from the Estonian Financial Supervision Authority after 5 years have passed from their issuance. According to Margus Rink, Chairman of the Management Board of Coop Pank AS, the bank has shown rapid growth in the first five months of the year and the money received from the issue of AT1 notes will be used to strengthen the capital base of the Bank.
