Optsiooniprogrammi märkimistulemused
Message
Coop Pank AS (edaspidi: Pank) nõukogu otsustas 14. oktoobril 2020 suurendada Panga aktsiakapitali 795 734,54 euro võrra Panga optsiooniprogrammi raames väljastatud optsioonide realiseerimise võimaldamiseks. Optsioonisaajatele suunatud aktsiaemissiooni märkimisperiood toimus 22. oktoobrist - 26. oktoobrini 2020. Emissioonis oli võimalik osaleda kahel Panga juhatuse liikmel, kes märkisid kokku 1 167 700 aktsiat 853 004,86 euro eest, mis moodustas 100% emissiooni mahust. Mõlemad optsioonisaajad esitasid märkimisavalduse ja tasusid märgitud aktsiate eest õigeaegselt. Aktsiakapitali suurendamise käigus lastakse välja 1 167 700 uut Panga lihtaktsiat arvestusliku väärtusega 0,6814546 eurot ühe aktsia kohta. Vastavalt optsiooniprogrammi tingimustele oli ühe aktsia väljalaskehind 0,7305 eurot ühe aktsia kohta. Väljalaskehinnast 0,6814546 eurot on aktsia arvestuslik väärtus ja 0,0490454 eurot on ülekurss. Emissiooni tulemusena suureneb Panga aktsiakapital pärast aktsiakapitali suurendamise äriregistris registreerimist 60 960 316,90 eurolt 61 756 051,44 euroni ning aktsiate arv 89 456 166 aktsialt 90 623 866 aktsiani. Pank esitab taotluse Nasdaq Tallinna börsile emissiooni raames emiteeritavate uute aktsiate noteerimiseks ja kauplemisele võtmiseks. Uute aktsiate eelduslik esimene kauplemispäev on esimene päev, mis järgneb päevale, mil Pank on teavitanud Nasdaq Tallinna börsi aktsiakapitali suurendamise äriregistrisse kandmisest ning uute aktsiate ISIN-koodiga EE3100007857 tähistamisest. Eesti kapitalil põhinev Coop Pank on üks viiest Eestis tegutsevast universaalpangast. Pangal on 80 000 igapäevapanganduse klienti. Coop Pank kasutab jaekaubanduse ja panganduse vahel tekkivat sünergiat ning toob igapäevased pangateenused inimeste kodu lähedale. Results of the subscription of shares issued in connection with the option programme

The supervisory board of Coop Pank AS (hereinafter the Bank) decided on 14 October 2020 to increase the share capital of the Bank by 795,734.54 euros to enable the realisation of the options issued in the framework of the option programme. The subscription period of the private placement to the option holders was from 22 October to 26 October 2020. Two members of the Bank's management board were able to participate in the issue, subscribing altogether for 1,167,700 shares for the total amount of EUR 853,004.85, making 100% of the issue size. Both option holders submitted a subscription application and paid timely for the subscribed shares. During the increase of the share capital, 1,167,700 new ordinary shares of the Bank will be issued at a book value of EUR 0.6814546 per share. According to the terms and conditions of the option programme, the issue price of the shares was EUR 0.7305 per share. EUR 0.6814546 of the issue price is the book value of a share and EUR 0.0490454 is the share premium. As a result of the issue, the Bank's share capital will increase upon registration of the increase of share capital in the commercial register from EUR 60,960,316.90 to EUR 61,756,051.44 and the number of shares from 89,456,166 to 90,623,866. The Bank will apply for the listing and the admission to trading of the shares to be issued within the issue on the Nasdaq Tallinn Stock Exchange. The first estimated trading day of the new shares shall be the first day following the day when the Bank has informed Nasdaq Tallinn Stock Exchange of the registration of the increase of share capital in the commercial register and identifying the new shares with the ISIN-code of EE3100007857.
