AS-i Tallink Grupp dividendi ja aktsiakapitali vähendamisega seotud väljamaksete ex-päev on 19.06.2019
Message
AS Tallink Grupp fikseerib nii dividendiõigust omavate aktsionäride nimekirja kui aktsiate arvestusliku väärtuste vähendamisest tulenevate väljamaksete saamiseks õigustatud aktsionäride nimekirja 20.06.2019 arveldussüsteemi tööpäeva lõpu seisuga. Ülaltoodust lähtudes on väärtpaberitega seotud õiguste muutumise päev (ex-päev) 19.06.2019. Alates sellest kuupäevast ei ole aktsiad (ISIN: EE3100004466) ega Soome väärtpaberite hoidmistunnistused (inglise keeles: Finnish share depositary receipt, ?FDR"; ISIN FI4000349378) omandanud isik õigustatud saama dividende 2018. majandusaasta eest ega 23.05.2019 toimunud aktsionäride üldkoosolekul otsustatud aktsiakapitali vähendamisega seotud väljamakseid. Seoses väärtpaberite õiguste muutumisega ei toimu perioodil 18-20.06.2019 (piiratud periood) aktsiate ja FDRide konverteerimist. Muutunud õigustega väärtpaberite konverteerimine on taas võimalik alates 21.06.2019. Enne piiratud perioodi instrueeritud, kuid mitte toimunud tehingute puhul tuleb pärast piiratud perioodi muutunud õigustega väärtpaberite tehingud uuesti instrueerida. AS Tallink Grupp maksab 33 494 102,00 eurot dividendi (0,05 eurot aktsia kohta) 3.07.2019. 23. mail 2019 toimunud aktsionäride üldkoosolek otsustas vähendada AS Tallink Grupp aktsiakapitali aktsiate arvestusliku väärtuse vähendamise teel. Aktsiakapitali vähendamisel makstakse aktsionäridele välja kokku 46 891 742,80 eurot (0,07 eurot aktsia kohta). Aktsaikapitali vähendamise tulemusena väljamakse tegemisele eelnevad toimingud vastavalt äriseadustikule on järgmised: 1) võlausaldajate teavitamine aktsiakapitali vähendamise otsusest ja teate avaldamine Ametlikes Teadaannetes 30.05.2019; 2) aktsiakapitali vähendamise äriregistrisse kandmise avalduse esitamine mitte enne kui kolm kuud pärast võlausaldajate teavitamist; 3) aktsiakapitali vähendamise väljamakse aktsionäridele mitte enne kui kolme kuu möödumisel aktsiakapitali vähendamise äriregistrisse kandmisest. Lähtudes eelnevast ning hinnates Äriregistri registritoiminguteks kuluda võivat aega makstakse aktsiakapitali vähendamine summas 46 891 742,80 eurot (0,07 eurot aktsia kohta) aktsionäridele välja eeldatavalt 2019 detsembris. Dividend and reduction of share capital payment ex-date of AS Tallink Grupp is 19.06.2019
Message
Both the list of AS Tallink Grupp's shareholders entitled to the dividend and the list of the shareholders entitled to receive the payments arising from the reduction of the book values of the shares shall be fixed as at 20.06.2019 at the end of the working day of the settlement system. Proceeding from the above, the ex-date is 19.06.2019. From that date the new owner of the shares (ISIN: EE3100004466) or Finnish Depository Receipts (?FDR"s; ISIN FI4000349378) is not entitled to receive dividends for the year 2018 and to receive the payments arising from the reduction of the book values of the shares decided at the 23.05.2019 shareholders' general meeting. In relation to the ex-date there will be no conversion of shares and FDRs during 18-20.06.2019 (restricted period). Conversions of the securities after the ex- date will be allowed again from 21.06.2019. All possible pending trades, i.e. instructed but not completed prior to the beginning of the restricted period, must be reinstructed on the ex-date terms. AS Tallink Grupp will pay a dividend of 33,494,102.00 euros (0.05 euros per share) on 3.07.2019. The Annual General Meeting of 23 May 2019 resolved to reduce the share capital of AS Tallink Grupp by reducing the book value of the shares. In connection with the reduction of the share capital, the monetary payments in the total amount of 46,891,742.80 euros (0.07 euros per share) will be made to the shareholders. The procedures prior to the payment of the reduction of the share capital according to the Commercial Code are as follows: 1) notiification of creditors of the resolution on the reduction of the share capital and publication of the notice in an official online publication of the Republic of Estonia (Ametlikud Teadaanded) on 30 May 2019; 2) submission of application for entry of the reduction of the share capital into the commercial register not earlier than three months after the publication of the notice to creditors; 3) share capital reduction payments to shareholders can be made no earlier than three months after entry of the reduction of the share capital into the commercial register. Based on the information above and the estimated time of the proceedings at the Commercial Registry, the payments to the shareholders in total amount of 46,891,742.80 euros (0.07 euros per share) are expected to be paid in December 2019. A stock exchange announcement will be made when the exact time of payment has been clarified.
