01.10.2018.a. sõlmisid AS PRFoods kontserni kuuluva Saaremere Kala ASi 100%- liste tütarettevõtete Heimon Kala Oy ja Oy Trio Trading Ab juhatused ühinemiskava, eesmärgiga parandada kontserni sisemist efektiivsust. Vastavalt ühinemiskavale on ühendavaks ühinguks Heimon Kala Oy. Ühinemise jõustumise tulemusel lõppeb Oy Trio Trading Ab likvideerimismenetluseta. Ühinemise jõustumise päev, alates millest kõik Oy Trio Trading Ab tehingud loetakse tehtuks Heimon Kala Oy arvelt, on eeldatavalt 31.01.2019.a. Nimetatud tehing ei oma mõju AS PRFoods kontserni konsolideeritud kasumile, varadele ega kohustustele. PRF: Merger of the AS PRFoods group companies Heimon Kala Oy and Oy Trio Trading Ab
Message
On 1 October 2018, the board of directors of Heimon Kala Oy and the board of directors of Oy Trio Trading Ab (which are 100% subsidiaries of Saaremere Kala AS, which is part of AS PRFoods group) signed a merger plan with the intention to improve the internal efficiency of the group. According to the merger plan, the acquiring company is Heimon Kala Oy. At the moment of the execution of the merger, Oy Trio Trading Ab will be dissolved without liquidation proceedings. The estimated time of the execution of the merger is 31 January 2019, after which all Oy Trio Trading Ab's transactions will be deemed to be made on the account of Heimon Kala Oy. This transaction does not have any effect on AS PRFoods group consolidated profit, assets or liabilities.
