Teade vahetusvõlakirjade PKG4 lunastustähtaja pikendamisest
Message
AS Pro Kapital Grupp teatab, et on pikendanud 516 029 ?Pro Kapital Grupp vahetusvõlakiri PKG4 16.09.2014" vahetusvõlakirja (edaspidi nimetatud kui vahetusvõlakirjad PKG4) lunastustähtaega 2 aasta võrra. Uueks lunastustähtajaks on 16.09.2020 (edaspidi nimetatud kui lunastuspäev). AS Pro Kapital Grupp ei lunasta hetkel ühtegi vahetusvõlakirja PKG4. AS Pro Kapital Grupp on esitanud Nasdaq Väärtpaberite Keskdepositooriumile taotluse vahetusvõlakirjade PKG4 lunastustähtaja muutmiseks. Kokku pikendati vahetusvõlakirju PKG4 väljalaskehinnas 1 444 881,20 eurot. Vahetusvõlakirjad kannavad intressi 7% kalendriaastas ja annavad vahetusvõlakirja omanikule õiguse vahetada ühe vahetusvõlakirja ühe AS Pro Kapital Grupp aktsia vastu. Iga vahetusvõlakirja väljalaskehind on 2,80 eurot vahetusvõlakirja kohta. AS Pro Kapital Grupp aktsiate märkimiseks ja võlakirjade vahetamiseks nende vastu peab võlakirjaomanik esitama ettevõttele taotluse vähemalt 10 (kümme) tööpäeva enne vahetuspäeva. Vahetuspäevaks on ükskõik milline tööpäev (iga päev, mis ei ole (a) laupäev, (b) pühapäev, (c) Eesti rahvuspüha, (d) riigipüha või (e) muu päev, mil Eesti väärtpaberite keskregistri (EVK) pidaja ei registreeri EVK-s väärtpabereid) kuni võlakirja kehtivuse viimase päevani ehk lunastuspäevani. Notice of prolongation of redemption date of PKG4 convertible bonds
Message
AS Pro Kapital Grupp informs that it has prolonged the redemption date of 516 029 "Pro Kapital Grupp convertible bond PKG4 16.09.2014" (hereinafter referred to as Convertible Bonds PKG4) by 2 years and the new redemption date is 16.09.2020 (hereinafter referred to as the redemption date). At this point in time, AS Pro Kapital Grupp shall not be redeeming any Convertible Bonds PKG4. AS Pro Kapital Grupp has submitted the relevant application to the Nasdaq Central Depository of Securities to change the redemption date of Convertible Bonds PKG4. In total, Convertible Bonds PKG4 were prolonged with total issue price of 1 444 881,20 euros. The convertible bonds bear an annual interest of 7% and give the holders of the convertible bonds the right to exchange one convertible bond for one share of AS Pro Kapital Grupp. The issue price of each convertible bond is 2,80 euros. In order to subscribe for the shares of AS Pro Kapital Grupp and exchange the bonds, the bondholder must submit an application to the Company at least 10 (ten) Business Days before the Exchange Date. The Exchange Date shall be each Business Day (a day other than (a) a Saturday, (b) a Sunday, (c) Estonian national holiday, (d) public holiday or (e) another day when the registrar of the Register does not register securities) until the expiration date of the Bond, i.e. until the date of its redemption.
