29. juunil 2018.a. sõlmisid AS PRFoods kontserni kuuluva Saaremere Kala ASi 100%-lised tütarettevõtted GourmetHouse OÜ ja Vettel OÜ ühinemislepingu, mille eesmärgiks on kontserni sisemise efektiivsuse parandamine. Vastavalt ühinemislepingule on ühendavaks ühinguks Vettel OÜ. Ühinemise tulemusel lõppeb GourmetHouse OÜ likvideerimismenetluseta. Ühinemise bilansipäev, alates millest kõik GourmetHouse OÜ tehingud loetakse tehtuks Vettel OÜ arvelt, on 1. juuli 2018. Nimetatud tehing ei oma mõju AS PRFoods kontserni konsolideeritud kasumile, varadele ega kohustustele. PRF: Merger of the AS PRFoods group companies GourmetHouse OÜ and Vettel OÜ
Message
On 29(th) June 2018, GourmetHouse OÜ and Vettel OÜ (which are 100% subsidiaries of Saaremere Kala AS, which is part of AS PRFoods group) executed a merger agreement with the intention to improve the internal efficiency of the group. According to the merger agreement, the acquiring company is Vettel OÜ. As a result of the merger, GourmetHouse OÜ will be terminated without liquidation proceedings. The merger date is 1(st) of July 2018, after which all GourmetHouse OÜ transactions will be deemed to be made on the account of Vettel OÜ. This transaction does not have any effect on AS PRFoods group consolidated profit, assets or liabilities.
