01.07.2013 toimunud Arco Vara AS-i aktsionäride korralisel üldkoosolekul võeti
vastu otsus emiteerida vahetusvõlakiri, mis andis selle omanikule õiguse
märkida kuni 390 000 aktsiat hinnaga 0,7 eurot aktsia. Seoses vahetusvõlakirja
alusel 390 000 aktsia märkimisega, emiteeris Arco Vara AS vastava hulga uusi
aktsiaid. Arco Vara AS-i aktsiakapital suurenes 04.11.2016 273 000 euro võrra,
st aktsiakapitali uueks suuruseks on 4 554 908.40 eurot.
Võlakirja omanik Arco Vara AS-i juhataja Tarmo Sild loovutas võlakirja alusel
aktsiate märkimise õiguse OÜ-le ALARMO KAPITAL, kes realiseeris vastava õiguse.
OÜ ALARMO KAPITAL on Arco Vara AS-i juhataja Tarmo Sild’i ja Arco Vara AS-i
nõukogu liikme Allar Niinepuu’ga seotud äriühing.
04.11.2016 tehti äriregistris Arco Vara AS-i aktsiakapitali suurenemise kohta
ka vastav kanne.

Share capital increase / Transaction with related party
Message
On 1 July, 2013, the Annual General Meeting of Arco Vara AS adopted the
decision to issue a convertible bond, which gave to the owner of it the right
to subscribe for 390 000 shares 0.7 euros per share (hereinafter “Convertible
Bond”). As 390 000 were subscribed for, Arco Vara AS has issued the
corresponding new shares. On 4 November, 2016, the share capital of Arco Vara
AS increased by 273 000 EUR, i.e. the new share capital is 4 554 908.40 EUR.
The owner of the Convertible Bond, the CEO of Arco Vara AS Tarmo Sild,
transferred the right of subscription to OÜ ALARMO KAPITAL who exercised it. OÜ
ALARMO KAPITAL is associated with the CEO of Arco Vara AS Tarmo Sild and the
Supervisory Board member Allar Niinepuu.
On 4 November, 2016, the entry regarding the increase of the share capital of
Arco Vara AS was made in the Commercial Register.
