Tallinn, Eesti, 2016-05-20 11:56 CEST (GLOBE NEWSWIRE) -- ASi PRFoods 29.05.2014 aktsionäride üldkoosoleku poolt vastu võetud otsuse alusel on esialgne oma aktsiate tagasiostuprogrammi maht täidetud. AS PRFoods nõukogu on teinud 26. mai 2016 toimuvale aktsionäride koosolekule ettepaneku olemasoleva programmi laiendamiseks, mille kohaselt on tagasiostu läbiviimise tähtaeg kuni 29. mai 2019 ning maksimaalne tagasiostetavate aktsiate arv on 1 000 000 aktsiat, täpsem info siin. Oma aktsiate tagasiostu periood algas 1.07.2014 ning lõppes 18.05.2016. 30.06.2014 sõlmis AS PRFoods juhatus ASiga SEB Pank teenuse osutamise lepingu aktsiate tagasiostuks PRFoods nimel, mille kohaselt oli Ettevõttel õigus oma aktsiaid tagasi osta ühe tehinguga või osade kaupa börsilt või börsiväliselt kuni 31. mai 2017 ning maksimaalseks tagasiostetavateks aktsiate arvuks oli 500 000 aktsiat. Programmi täideviimisel oli SEB Pank kauplemisotsuste tegemisel iseseisev ja Ettevõttest sõltumatu, järgides programmi läbiviimsel kehtestatud tingimusi ning piiranguid. Kokku omandas AS PRFoods tagasiostuprogrammi raames perioodil 1.07.2014 kuni 18.05.2016 kokku 500 000 oma aktsiat, mis moodustab aktsiakapitalist 1,2926%. Aktsiate eest tasuti koos tehingutasudega kokku 300 tuhat eurot. Aktsiate keskmiseks tagasiostu hinnaks kujunes 0,5995 eurot aktsia kohta. PRF: Performing the share repurchase programme of AS PRFoods’ own shares, and transactions in the period from 16 May 2016 to 18 May 2016

On the basis of resolution adopted by AS PRFoods’s shareholders’ general meeting
on 29 May 2014 the volume of the initial share repurchase programme has been
fulfilled. AS PRFoods supervisory board proposed to the shareholders’ meeting
to be organised on 26 May 2016 that the existing programme be expanded. This
would mean that the deadline for share repurchase would be 29 May 2019 and the
maximum number or repurchased shares would be 1,000,000 shares, detailed
information is available here. The share repurchase period started on 1 July
2014 and ended on 18 May 2016.
On 30 June 2014 the management board of AS PRFoods entered into a service
contract for the repurchase of shares in the name of PRFoods with AS SEB Pank,
according to which the Company has the right to repurchase its shares from the
stock exchange or outside it with one transaction or part by part until 31 May
2017 and the maximum number of shares to be repurchased was specified to be
500,000. SEB Pank was independent of the Company in performing the programme
and making trading decisions, while the bank followed the conditions and
restrictions specified in performing the programme.
AS PRFoods acquired altogether 500,000 of its own shares (1.2926% of the share
capital) in the period from 1 July 2014 to 18 May 2016 during the share
repurchase programme. 300 thousand euros was paid for the shares together with
transaction fees. The average repurchase price was 0.5995 euros per share.
During the period 16/05/2016 – 18/05/2016 AS SEB Pank purchased in the name and
on behalf of AS PRFoods the shares of AS PRFoods as market transactions as
follows:

The own shares buy-back programme is carried out in accordance with the
resolution of the General Meeting of shareholders of AS PRFoods held on
29/05/2014 and the Commission Regulation (EC) No 2273/2003 dated 22 December
2003 implementing Directive 2003/6/EC of the European Parliament and of the
Council as regards exemptions for buy-back programmes and stabilisation of
financial instruments.
