2015. aasta auditeeritud majandusaasta aruanne ja kasumi jaotamise ettepanek
Message
Nordecon AS-i nõukogu kiitis 27.04.2016 toimunud koosolekul heaks Nordecon AS-i
konsolideeritud 2015. aasta auditeeritud majandusaasta aruande koos kasumi
jaotamise ettepanekuga. Nõukogu otsustas juhatuse poolt ette valmistatud
aruande ja ettepaneku kasumi jaotamise kohta saata kinnitamiseks aktsionäride
korralisele üldkoosolekule juhatuse poolt esitatud kujul.
Nordecon AS-i aktsionäridele kuuluv 2015. a majandusaasta puhaskasum on 179
tuhat eurot. Eelmiste perioodide jaotamata kasum on kokku 10 791 tuhat eurot.
Juhatus teeb ettepaneku maksta dividendideks 923 tuhat eurot (0,03 eurot aktsia
kohta) ja mitte teha eraldisi reservkapitali. Ühtlasi on nõukogu oma
27.04.2016. a otsusega teinud aktsionäride üldkoosolekule ettepaneku
aktsiakapitali vähendamiseks aktsiate arvestusliku väärtuse vähendamise teel
kokku summas 923 tuhat eurot (0,03 eurot ühe aktsia kohta).
2015. aasta majandusaasta aruanne, selles sisalduv sõltumatu vandeaudiitori
aruanne ja kasumi jaotamise ettepanek on lisatud käesolevale teatele ning on
kättesaadav NASDAQ OMX Tallinna börsi koduleheküljelt www.nasdaqomxbaltic.com
ja emitendi koduleheküljel www.nordecon.com. Samuti on majandusaasta aruandega
võimalik tutvuda ettevõtte asukohas Pärnu mnt 158/1, Tallinn.
Auditeeritud aruandes ei tehtud olulisi korrigeerimisi võrreldes 11.02.2016
avalikustatud esialgsete majandustulemustega.
Nordeconi kontsern hõlmab ettevõtteid, mis on keskendunud hoonete ja rajatiste
ehitamise projektijuhtimisele ja peatöövõtule. Geograafiliselt tegutsevad
kontserni ettevõtted Eestis, Ukrainas, Soomes ja alates 2016 algusest Rootsis.
Kontserni emaettevõte Nordecon AS on registreeritud ja asub Tallinnas, Eestis.
Kontserni kuulub lisaks emaettevõttele üle 10 tütarettevõtte. Kontserni 2015.
aasta konsolideeritud müügitulu oli 145,5 miljonit eurot. Nordeconi kontsern
annab hetkel tööd ligi 700 inimesele. Alates 18.05.2006 on emaettevõtte aktsiad
noteeritud NASDAQ OMX Tallinna Börsi põhinimekirjas.

Audited annual report 2015 and profit allocation proposal
Message
The council of Nordecon AS approved on 27 April 2016 the consolidated audited
annual report and profit allocation proposal for the year 2015. The council
decided to present the annual report and profit allocation proposal as prepared
by the management for the approval of the general meeting of shareholders.
Nordecon AS shareholders’ net profit of the 2015 financial year is 179 thousand
euros. The balance of retained earnings is 10,791 thousand euros. The
management proposes to distribute 923 thousand euros (0.03 euros per share) as
dividends and not to make any transfers to the capital reserve. Additionally,
according to its decision of 27 April 2016 the council proposed to the general
meeting of the shareholders to reduce the share capital by a total of 923
thousand euros (0.03 euros per share) by way of reducing the book value of
shares.
The annual report that contains auditor’s report and profit allocation proposal
for 2015 is attached to this announcement and made available on NASDAQ OMX
Tallinn Stock Exchange’s web page www.nasdaqomxbaltic.com and Nordecon’s web
page www.nordecon.com. The annual report can also be read at location on Pärnu
mnt 158/1, Tallinn.
There were no significant adjustments made in audited annual report compared to
the preliminary 12 month interim report published on 11 February 2016.
