OEG kontserni kuuluv Baina Investments sp. z o.o. sõlmis lepingu, mille kohaselt omandab 20%-lise osaluse Poola tütarettevõttes Casino Polonia-Wroc?aw sp. z o.o., suurendades OEG kontserni osalust 100%-le. Omandatud osa suurus on 985 628,40 Poola zlotti (1 EUR = 4,3458 PLN). Kokku on Casino Polonia-Wroc?aw sp. z o.o. osakapital 4 928 142,00 Poola zlotti (1 EUR = 4,3458 PLN). 20%-lise osaluse omandamine tütarettevõttes Casino Polonia-Wroc?aw sp. z o.o. toimus Marerk Sobiesiakilt. Poolte kokkuleppel tehingu summat ei avaldata. Tehingu tulemusena puudub oluline mõju OEG kasumile, varadele ja kohustustele. Tehingute järgselt kuulub OEG-le 100% Poola kasiinooperaatorist Casino Polonia-Wroc?aw sp. z o.o. NASDAQ OMX Tallinna börsi reglemendi tähenduses on sõlmitud tehingu puhul tegemist küll seotud isikuga (Marek Sobiesiak omas olulist osalust OEG tütarettevõtjas Casino Polonia-Wroc?aw sp. z o.o.) sõlmitud tehinguga, kuid samas ei ole see käsitletav olulise tehinguna seotud isikuga. OEG juhatuse ja nõukogu liikmed ei ole tehingust muul viisil isiklikult huvitatud. OEG ei tasunud Marek Sobiesiakile tehingu raames oma aktsiatega ning Marek Sobiesiak ei oma OEG aktsiaid. OEG is increasing to 100% its holding in Casino Polonia-Wroc?aw sp. z o.o., a company that manages operations in Poland

OEG group company Baina Investments sp. z o.o. signed the agreement to acquire a 20% holding in the Polish subsidiary Casino Polonia-Wroc?aw sp. z o.o., increasing OEG group holding to 100%. The nominal value of the acquired shares is PLN 985,628.40 (EUR 1 = PLN 4.3458). The share capital of Casino Polonia-Wroc?aw sp. z o.o. amounts to PLN 4,928,142.00 (EUR 1 = PLN 4.3458). A 20% holding in the subsidiary Casino Polonia-Wroc?aw sp. z o.o. is being acquired from Marek Sobiesiak. Parties have agreed not to disclose the transaction price. The transaction will have no material impact on OEG’s profit, assets or liabilities. Following the deal, OEG will own 100% of Casino Polonia-Wroc?aw sp. z o.o., which in engaged in casino operations on the Polish market. Although for the purposes of the Rules and Regulations of NASDAQ OMX Tallinn Stock Exchange, the transaction is considered to be a transaction with a related party (Marek Sobiesiak had a qualifying holding in OEG’s subsidiary Casino Polonia-Wroc?aw sp. z o.o.), this does not constitute material transaction with a related party. The management board and the supervisory board members of OEG are not personally interested in this transaction in any other way. Under the transaction, OEG did not pay to Marek Sobiesiak using its shares, and Marek Sobiesiak owns no shares in OEG.
