Tallinna Kaubamaja Grupp AS avaldas 16.11.2015 börsiteate, milles teatas Viking
Security AS (ühendav ühing) ja Digisilm Videovalve OÜ (ühendatav ühing)
ühinemisest.
Viking Security AS ja Digisilm Videovalve OÜ ühinemisotsused on vastu võetud
17.11.2015 ning ühinemine kanti äriregistrisse 23.12.2015.
Vastavalt 16.11.2015 sõlmitud ühinemislepingule on Digisilm Videovalve OÜ
õigusjärglaseks Viking Security AS ning kogu Digisilm Videovalve OÜ vara anti
ühinemise kandmisega äriregistrisse tervikuna üle Viking Security AS-ile.
Ühinemisega seoses kustutati äriregistrist Digisilm Videovalve OÜ. Ühinemise
tulemusel ühendava ühingu aktsiakapital ei muutu.

Mergers of subsidiaries of Tallinna Kaubamaja Grupp AS
Message
Tallinna Kaubamaja Grupp AS published the Stock Exchange announcement on 16th
of November 2015, which stated the merger of Viking Security AS (acquiring
company) and Digisilm Videovalve OÜ (company being acquired).
Merger resolutions of Viking Security AS and Digisilm Videovalve OÜ were
adopted on 17th of November 2015 and Commercial Register registered the
abovementioned merger on 23rd of December 2015.
According to the merger agreement signed on 16th of November 2015 the legal
successor of Digisilm Videovalve OÜ is Viking Security AS. By registration of
the merger, all assets of Digisilm Videovalve OÜ were given over to Viking
Security AS. In connection to the registration of the merger, Digisilm
Videovalve OÜ was deleted from the Commercial Register. The share capital of
the acquiring company does not change.
