Tallinna Kaubamaja Grupp AS teavitas 08.07.2015 börsi 100% Digisilm Videovalve
OÜ osade omandamisest tütarettevõte Viking Security AS poolt. Tehinguga
täiustati Viking Security AS elektrooniliste hoiatus-, valvamis- ja
jälgimissüsteemide projekteerimise, paigaldamise ja hooldusega seotud
teenuseid.
Efektiivsuse tõstmise huvides on kavas ühendada gruppi kuuluvate
turvaettevõtete tegevus, milleks viiakse läbi ühinemine, kus Viking Security AS
(ühendav ühing) ühendab endasse Digisilm Videovalve OÜ (ühendatav ühing). Täna
allkirjastati ülalmainitud ühinemisega seonduv ühinemisleping. Ühinemise
registreerimine äriregistris leiab aset tõenäoliselt detsembris 2015.
Ühendatud ettevõte jätkab kvaliteetsete turvateenuste osutamist. Tekkiv
sünergia võimaldab pakkuda klientidele veelgi paremaid ja täiuslikumaid
lahendusi ning jätkata ettevõtte senist edukat kasvu.

Merger of subsidiaries
Message
Tallinna Kaubamaja Grupp AS informed on 8 July 2015 the stock exchange of
acquiring 100% shares of Digisilm Videovalve OÜ by its subsidiary, Viking
Security AS. By respective acquisition Viking Security AS strengthened its
services related to the design, installation and maintenance of electronic
alert, surveillance and monitoring systems.
In order to increase efficiency plan is to merge the activities of subsidiaries
in the group that are involved in security business – Digisilm Videovalve OÜ
(company to be acquired) will be merged into Viking Security AS (acquiring
company). The merger agreement related to the above-mentioned merger was signed
today. The merger will most likely be registered in the Commercial Registry
during December 2015.
The merged company will continue providing high-quality security services. The
resulting synergy will allow us to provide our clients with increasingly better
and perfected solutions, and continue the successful growth of the company thus
far.
