Title
Võlakirjade märkimise tulemused
Message
AS Pro Kapital Grupp (edaspidi nimetatud kui Pro Kapital) teavitas investoreid
17.07.2015 börsiteatega, et Pro Kapitali juhatus otsustas alustada tagatud,
ennetähtaegse lunastamise õigusega ja fikseeritud intressimääraga võlakirjade
(edaspidi nimetatud Võlakirjad) järjekorras teise märkimiseks pakkumise
protsessiga.
Juhatus on otsustanud teisel märkimisperioodil märgitud Võlakirjade jaotuse
järgnevalt:
1. Pro Kapital emiteerib 64 Võlakirja väljalaskehinnas kokku EUR 6 483 911,04;
2. Iga Võlakirja nimiväärtus on EUR 100 000;
3. Võlakirjad kannavad fikseeritud intressi 8% kalendriaastas;
4. Teisel märkimisperioodil jaotatud Võlakirjade emiteerimise planeeritud
kuupäevaks on 31.07.2015 või sellele lähedane kuupäev;
5. Võlakirjade lunastamistähtpäev on 01.06.2020;
6. Võlakirjadest tulenevad Pro Kapitali kohustused ja vastutus tagatakse
esimese järjekoha tagatisega, mis seatakse järgnevale varale:
-- kõik Pro Kapitali ja tema tütarettevõtetele kuuluvad järgnevad aktsiad (ja
aktsiatega seotud õigused ning tulevikus mistahes ajahetkel emiteeritavad
või omandatavad aktsiad): AS Pro Kapital Eesti, Pro Kapital Latvia JSC, Pro
Kapital Vilnius Real Estate UAB, PRO KAPITAL Germany GmbH, Pro Kapital
Germany Holdings OÜ, OÜ Ilmarise Kvartal, Pro Halduse OÜ, OÜ Hotel
Management Services, AS Tondi Kvartal, OÜ Marsi Elu, PK Hotel Management
Services GmbH, “Kl?versala” SIA, “Tallina nekustamie ?pašumi” SIA,
"NEKUSTAMO ?PAŠUMU SABIEDR?BA "ZVAIGZNES CENTRS"" SIA, “Hotel Management
Services” SIA; In Vitam UAB; PK Invest UAB and Pro Kapital Bonum UAB;
-- kaks pangakontot, mis on avatud seoses Võlakirjade emiteerimise kavatsusega
(võla teenindamise konto deposiitkonto);
1. Võlakirjad registreeritakse Euroclear Sweden AB juures;
2. Pro Kapital kavatseb taotleda Võlakirjade kauplemisele võtmist Nasdaq
Stockholm võlakirjade nimekirjas.
Pro Kapital teavitab, et OÜ Svalbork Invest, milline on Hr. Ernesto Preatoni
perekonna liikme kontrollitav ettevõte, märkis võlakirju EUR 5 876 044,38
suuruses summas. Hr. Ernesto Preatoni ja temaga seotud isikud on Pro Kapitali
suurimad aktsionärid.
Pro Kapital tegevjuht Paolo Michelozzi kommentaar Võlakirjade teise märkimise
osas: “Oleme rahul teisel märkimisel jaotatud võlakirjade summaga ning meil on
heameel, et üks suuremaid Pro Kapitali aktsionäre otsustas osaleda võlakirjade
märkimises”.
Käesolev teade avaldatakse Tallinna Börsi reeglistiku Nõuded Emitendile punkti
7.6. kohaselt.

Title
Results of the subscription of debt securities
Message
AS Pro Kapital Grupp (hereinafter Pro Kapital) informed its investors on
17.07.2015 that Pro Kapital Management Board decided to announce the start of
the second subscription process of the secured, callable, fixed rate bonds
(hereinafter the “Bonds”).
The Management Board has decided on the allocation of the second subscription
of the Bonds as follows:
1. Pro Kapital will issue 64 Bonds with total issue price of EUR 6 483 911,04
EUR;
2. the nominal value of the Bonds will be EUR 100 000 each;
3. the Bonds will carry interest at a 8%, p.a.;
4. the issue date of the second tranche of the Bonds is expected to take place
on or around 31.07.2015;
5. the final redemption date of the Bonds will take place on 01.06.2020;
6. the obligations and liabilities of Pro Kapital arising from the Bonds and
related documents will be secured by the first ranking security over the
following assets:
-- all shares (including rights attached thereto) in the following companies
owned by Pro Kapital and its subsidiaries (including all shares issued and
acquired at any time in the future): AS Pro Kapital Eesti, Pro Kapital
Latvia JSC, Pro Kapital Vilnius Real Estate UAB, PRO KAPITAL Germany GmbH,
Pro Kapital Germany Holdings OÜ, OÜ Ilmarise Kvartal, Pro Halduse OÜ, OÜ
Hotel Management Services, AS Tondi Kvartal, OÜ Marsi Elu, PK Hotel
Management Services GmbH, “Kl?versala” SIA, “Tallina nekustamie ?pašumi”
SIA, "NEKUSTAMO ?PAŠUMU SABIEDR?BA "ZVAIGZNES CENTRS"" SIA, “Hotel
Management Services” SIA; In Vitam UAB; PK Invest UAB and Pro Kapital Bonum
UAB;
-- two banks accounts opened in connection with the issuance of the Bonds
(debt service account and deposit account);
1. the Bonds will be registered with Euroclear Sweden AB;
2. Pro Kapital plans to apply for the listing of the Bonds at the corporate
bond list on Nasdaq Stockholm.
Pro Kapital informs that OÜ Svalbork Invest, which is a company controlled by
Mr. Ernesto Preatoni‘s family member, subscribed bonds in amount of EUR 5 876
044,38. Mr. Ernesto Preatoni and affiliates are largest shareholders of Pro
Kapital.
CEO of Pro Kapital Paolo Michelozzi comment on the second subscription of the
Bonds: “we are satisfied with the allocation amount of the second subscription
of the bonds and are glad that one of the largest shareholders of Pro Kapital
decided to participate in the subscription of the Bonds”.
This notice has been published to comply with the rule 7.6. of the Requirement
for Issuers of Nasdaq Tallinn Stock-Exchange.
