Grupp vastu hagiavalduse Aktsiaseltsi Ekspress Grupp aktsionäride 20.06.2014
korralise üldkoosoleku otsuste vaidlustamiseks. Osaühing Grupivara on
vaidlustanud üldkoosoleku otsused, millega kinnitati Aktsiaseltsi Ekspress
Grupp 2013. a majandusaasta aruanne ja kasumi jaotamise ettepanek, sest
Osaühingu Grupivara hinnangul sisaldab Aktsiaseltsi Ekspress Grupp 2013. a
majandusaasta aruanne ebaõigeid andmeid.
Harju Maakohus on Osaühingu Grupivara hagiavalduse 22.09.2014 menetlusse võtnud
ning Aktsiaseltsil Ekspress Grupp tuleb hagile vastata hiljemalt 06.10.2014.
Aktsiaselts Ekspress Grupp peab hagiavaldust alusetuks.
Aktsiaseltsi Ekspress Grupp finantsaruandlus on auditeeritud, aruandlus on
avalikustatud ning sõltumatud vandeaudiitorid on kinnitatud Aktsiaseltsi
Ekspress Grupp aktsionäridele aruandluse õigsust.
Osaühing Grupivara on Aktsiaseltsi Ekspress Grupp väikeaktsionär (Osaühingu
Grupivara osaluse suurus on 0,0003% aktsiakapitalist), mis omandas osaluse
Aktsiaseltsis Ekspress Grupp 2014. aasta veebruaris.

Osaühing Grupivara has filed a statement of claim to Harju County Court (in
Estonian: “Harju Maakohus”) on 19.06.2014 against Aktsiaselts Ekspress Grupp
regarding decisions of the 20.06.2014 Annual General Meeting of Shareholders of
Aktsiaselts Ekspress Grupp. Osaühing Grupivara has challenged the decisions of
Shareholders Meeting of approving the Annual Report for the Financial Year 2013
of Aktsiaselts Ekspress Grupp and Profit Distribution Proposal as Osaühing
Grupivara has an opinion that the Annual Report for the Financial Year 2013 of
Aktsiaselts Ekspress Grupp contains inaccurate data.
On 22.09.2014 Harju County Court has accepted the court claim to be processed
and Aktsiaselts Ekspress Grupp has to answer to the claim by 06.10.2014.
Aktsiaselts Ekspress Grupp finds the statement of claim groundless.
The financial reports of Aktsiaselts Ekspress Grupp are audited, the reports
have been made available to the public and independent sworn auditors have
confirmed to the shareholders of Aktsiaselts Ekspress Grupp the accuracy of the
reports.
Osaühing Grupivara is a minor shareholder of Aktsiaselts Ekspress Grupp (the
holding of Osaühing Grupivara is 0.0003% from the share capital) that has
acquired the holding in Aktsiaselts Ekspress Grupp in February 2014.
