Teade vahetusvõlakirjade lunastustähtaja pikendamisest

AS Pro Kapital Grupp teatab, et on pikendanud 517 029 „Pro Kapital Grupp
vahetusvõlakiri PKG4 16.09.2014“ vahetusvõlakirja (edaspidi nimetatud kui
vahetusvõlakirjad PKG4) lunastustähtaega 2 aasta võrra ja uueks
lunastustähtajaks on 16.09.2016 (edaspidi nimetatud kui lunastuspäev). AS Pro
Kapital Grupp lunastab 18 983 vahetusvõlakirja PKG4.
Kõik vahetusvõlakirjade PKG4 omanikud nõustusid AS Pro Kapital Grupp
ettepanekuga pikendada vahetusvõlakirjade lunastustähtaega, üks investor
nõustus talle kuuluvate vahetusvõlakirjade PKG4 lunastustähtaja pikendamisega
osaliselt, soovides 18 983 vahetusvõlakirja PKG4 lunastamist ja investorile
kuuluvate ülejäänud vahetusvõlakirjade lunastustähtaja pikendamist.
AS Pro Kapital Grupp on 16.09.2014 esitanud Eesti Väärtpaberite Keskregistrile
taotluse vahetusvõlakirjade PKG4 lunastustähtaja ja emissiooni mahu muutmiseks.
Kokku pikendati vahetusvõlakirju väljalaskehinnas 1 447 681,20 EUR ja
lunastatakse vahetusvõlakirju väljalaskehinnas 53 152,40 EUR.
Vahetusvõlakirjad kannavad intressi 7% kalendriaastas ja annavad
vahetusvõlakirja omanikule õiguse vahetada ühe vahetusvõlakirja ühe AS Pro
Kapital Grupp aktsia vastu. Iga vahetusvõlakirja väljalaskehind on 2,80 eurot
vahetusvõlakirja kohta.
AS Pro Kapital Grupp aktsiate märkimiseks ja võlakirjade vahetamiseks nende
vastu peab võlakirjaomanik esitama ettevõttele taotluse vähemalt 10 (kümme)
tööpäeva enne vahetuspäeva. Vahetuspäevaks on ükskõik milline tööpäev (iga
päev, mis ei ole (a) laupäev, (b) pühapäev, (c) Eesti rahvuspüha, (d) riigipüha
või (e) muu päev, mil Eesti väärtpaberite keskregistri (EVK) pidaja ei
registreeri EVK-s väärtpabereid) kuni võlakirja kehtivuse viimase päevani ehk
lunastuspäevani.

Notice of prolongation of redemption date of convertible bonds

AS Pro Kapital Grupp informs that it has prolonged the redemption date of 517
029 “Pro Kapital Grupp convertible bond PKG4 16.09.2014” (hereinafter referred
to as Convertible Bonds PKG4) by 2 years and the new redemption date is
16.09.2016 (hereinafter referred to as the redemption date). AS Pro Kapital
Grupp will redeem 18 983 Convertible Bonds PKG4.
All holders of Convertible Bonds PKG4 agreed with AS Pro Kapital Grupp proposal
to prolong the redemption date of the convertible bonds, one investor agreed to
prolong the redemption date in regards to some of the bonds held by the
investor, expressing the wish for 18 983 Convertible Bonds PKG4 to be redeemed
and the redemption date of the rest of the holding to be prolonged.
AS Pro Kapital Grupp has on 16.09.2014 submitted to the Estonian Central
Register of Securities the application to change the redemption date and the
total issue amount of Convertible Bonds PKG4.
In total convertible bonds were prolonged with total issue price of 1 447
681,20 EUR and convertible bonds with total issue price of 53 152,40 EUR will
be redeemed.
The convertible bonds bear an annual interest of 7% and give the holders of the
convertible bonds the right to exchange one convertible bond for one shares of
AS Pro Kapital Grupp. The issue price of each convertible bond is 2,80 euro’s.
In order to subscribe for the shares of AS Pro Kapital Grupp and exchange the
bonds, the bondholder must submit an application to the Company at least 10
(ten) Business Days before the Exchange Date. The Exchange Date shall be each
Business Day (a day other than (a) a Saturday, (b) a Sunday, (c) Estonian
national holiday, (d) public holiday or (e) another day when the registrar of
the Register does not register securities) until the expiration date of the
Bond, i.e. until the date of its redemption.
