PARANDUS: 5.juuni 2014 avalikustatud börsiteates Skano Group AS nõukogu otsuste
kohta läks sisse punktis 2 ekslikult vale sõnastus.
Punkti 2 õige sõnastus on: Auditikomiteest tagasi kutsuda Girts Eglajs ja
valida uueks liikmeks Kertu Virkebau. Kertu Virkebau töötab Trigon Capital
grupi pearaamatupidajana. Auditikomitee liikmena jätkab Heiti Riisberg.
Järgneb parandatud teade:
5. juunil 2014 toimunud Skano Group AS nõukogu koosolekul otsustati alljärgnev:
1. Valida uueks nõukogu esimeheks Heiti Riisberg.
2. Auditikomiteest tagasi kutsuda Girts Eglajs ja valida uueks liikmeks Kertu
Virkebau. Kertu Virkebau töötab Trigon Capital grupi pearaamatupidajana.
Auditikomitee liikmena jätkab Heiti Riisberg.
3. Valida Skano Group AS (sh. kontserni teiste tütarettevõtete) uueks juhatuse
liikmeks alates 6.juunist 2014.a. ja vastavalt põhikirjale 3 aastaks senine
müügijuht Gregory Devine Grace, kelle vastutusvaldkonnaks jääb Skano Group’is
müügitegevuse juhtimine. Skano Group AS juhatus muutub kolmeliikmeliseks,
lisaks Gregory Devine Grace’le kuuluvad juhatusse juhatuse eesimees Martin
Kalle ja juhatuse liige Gert Kuus.
Gregory Devine Grace liitus Skano Group AS-iga 2014 aasta alguses. Greg on
varem töötanud müügi- ja turunduse konsultandina, Baltikumi äri arendusjuhina
Coca-Cola HBC Baltics AS-s, tegevdirektorina NSB Kaubanduse AS-is ning omab
kõrgharidust (BA) välissuhete erialal Virginia Ülikoolist 1994 aastast. Gregory
Devine Grace ei oma Skano Group AS aktsiaid.
4. Seada Swedbank AS-ga sõlmitud laenulepingust tulenevate kohustuste täitmise
tagamiseks pandid Skano Group AS-i tütarühingute (Skano Fibreboard Osaühing ja
Skano Furniture Factory Osaühing) osadele.
Skano Group AS-i tütarühingute osade pantimine tuleneb Swedbank AS varasemalt
võetud laenu restruktureerimisest. Tütarühingute varad on juba varajasemalt
olnud panditud kommertspandi ja hüpoteegiga Swedbank AS kasuks. Tehingu
tegemine on oluline Skano Group AS-i tulevaste investeeringute tegemiseks ja
majandustegevuse arendamiseks.

CORRECTION: Decisions of the Supervisory Board of Skano Group AS

CORRECTION: A mistake was made in wording of the notice about Decisions of the
Supervisory Board of Skano Group AS in point 2 published on June 5, 2014.
The correct version of point 2 is: To recall Mr. Girts Eglajs from the Audit
Committee and appoint Kertu Virkebau as a new member of the Audit Committee.
Kertu Virkebau is working as chief accountant for Trigon Capital group. Heiti
Riisberg will continue as the member of the Audit Committee.
The correct release follows:
Skano Grop AS informs that the Supervisory Board which was convened on June 5,
2014 has decided the following:
1. To appoint Heiti Riisberg as the new Chairman of the Supervisory Board.
2. To recall Mr. Girts Eglajs from the Audit Committee and appoint Kertu
Virkebau as a new member of the Audit Committee. Kertu Virkebau is working as
chief accountant for Trigon Capital group. Heiti Riisberg will continue as the
member of the Audit Committee.
3. To appoint Gregory Devine Grace as a new member of the Management Board of
Skano Group AS (including all subsidiaries) responsible for sales for a period
of 3 years, effective as of June 6, 2014. The Management Board of Skano Group
AS consists of 3 memebrs from now on, including also CEO Martin Kalle and Gert
Kuus.
Gregory Devine Grace joined Skano Group AS at the beginnig of 2014 as Head of
Sales. His previous work includes running a Sales and Marketing Consulting
firm, Baltic Business Development Manager for Coca-Cola HBC Baltics AS,
Managing Director of NSB Kaubanduse AS. Gregory Devine Grace received his
Bachelor of Arts degree in Foreign Affairs from the University of Virginia in
1994. Gregory Devine Grace does not hold shares of Skano Group AS.
4. To pledge the shares of its subsidiaries (Skano Fibreboard Osaühing and
Skano Furniture Factory Osaühing). The shares are pledged to secure the
fulfilment of the obligations of Skano Group AS deriving from the loan
agreement previously concluded with Swedbank AS.
The pledge of the shares of the subsidiaries of Skano Group AS for Swedbank AS
is the result of restructuring of previously taken loan. Assets of the
subsidiaries have been pledged earlier (with commercial pledge and mortgage)
for Swedbank AS. The transaction is important for the future investments and
business activities of Skano Group AS.
