Nordecon AS-i nõukogu kiitis 24.04.2014 toimunud koosolekul heaks Nordecon AS-i
konsolideeritud 2013. aasta auditeeritud majandusaasta aruande koos kasumi
jaotamise ettepanekuga. Nõukogu otsustas juhatuse poolt ette valmistatud
aruande ja ettepaneku kasumi jaotamise kohta saata kinnitamiseks aktsionäride
korralisele üldkoosolekule juhatuse poolt esitatud kujul.
Nordecon AS-i aktsionäridele kuuluv 2013. a majandusaasta puhaskasum on 4 642
tuhat eurot. Eelmiste perioodide jaotamata kasum on kokku 6 039 tuhat eurot.
Juhatus teeb ettepaneku maksta dividendideks 0,03 eurot aktsia kohta (923 tuhat
eurot) ja mitte teha eraldisi reservkapitali.
2013. aasta majandusaasta aruanne, selles sisalduv sõltumatu vandeaudiitori
aruanne ja kasumi jaotamise ettepanek on lisatud käesolevale teatele ning on
kättesaadav NASDAQ OMX Tallinna börsi koduleheküljelt www.nasdaqomxbaltic.com
ja emitendi koduleheküljel www.nordecon.com. Samuti on majandusaasta aruandega
võimalik tutvuda ettevõtte asukohas Pärnu mnt 158/1, Tallinn.
Võrreldes 13.02.2014 avalikustatud esialgsete majandustulemustega on
auditeeritud puhaskasum väiksem 561 tuhat eurot. Sellest olulise osa moodustab
vahearuande avalikustamise järgselt lahendi saanud kohtuotsuse tulemuse (vastav
börsiteade avalikustati 27.02.2014) kajastamine 2013. aasta finantsaruannete
koosseisus.
Nordeconi kontsern hõlmab ettevõtteid, mis on keskendunud hoonete ja rajatiste
ehitamise projektijuhtimisele ja peatöövõtule. Geograafiliselt tegutsevad
kontserni ettevõtted täna Eestis, Ukrainas ja Soomes. Kontserni emaettevõte
Nordecon AS on registreeritud ja asub Tallinnas, Eestis. Kontserni kuulub
lisaks emaettevõttele üle 10 tütarettevõtte. Kontserni 2013. aasta
konsolideeritud müügitulu oli 174 miljonit eurot ja puhaskasum 4,6 miljonit
eurot. Nordeconi kontsern annab hetkel tööd üle 700 inimesele. Alates
18.05.2006 on emaettevõtte aktsiad noteeritud NASDAQ OMX Tallinna Börsi

Audited annual report 2013 and profit allocation proposal

The council of Nordecon AS approved on 24 April 2014 the consolidated audited
annual report and profit allocation proposal for the year 2013. The council
decided to present the annual report and profit allocation proposal as prepared
by the management for the approval of the general meeting of shareholders.
Nordecon AS shareholders’ net profit of the 2013 financial year is EUR 4,642
thousand euros. The balance of retained earnings is 6,039 thousand euros. The
management proposes to distribute to dividends EUR 0.03 per share (EUR 923
thousand) and not to make any transfers to the capital reserve.
The annual report that contains auditor’s report and profit allocation proposal
for 2013 is attached to this announcement and made available on NASDAQ OMX
Tallinn Stock Exchange’s web page www.nasdaqomxbaltic.com and Nordecon’s web

Compared to the preliminary 12 month interim report published on 13 February
2014 the audited net profit is decreased by EUR 561 thousand. A substantial
part of this adjustment is attributed to a specific court ruling (company
announcement at 27 February 2014) made after publishing of the interim report
with its effect accounted for in 2013 financial statements.
