Arco Vara AS müüs OÜ Arco Ehituse
Message
Tulenevalt grupi tegevusstrateegia muutumisest lõpetas grupp 2013.a.
ehitusteenuse pakkumise kolmandatele isikutele, sealhulgas keskkonnaehituse
valdkonnas.
Eeltoodud põhjustel võõrandas AS Arco Vara 14. veebruaril 2014. aastal 100%
tütarettevõtte OÜ Arco Ehituse osa Stratcorp OÜle. Osa müügihind koosnes
kahest osast:
a) Osa üleminekul 10 tuhat eurot, mis on tasutud;
b) Ostja tasub 30% summast, mis võidetakse kohtuvaidlustest Haridus- ja
Teadusministeeriumi ning OÜ Loksa Haljastus vastu. Tasutavalt summalt arvatakse
maha ka tulumaks.
Juhataja kommentaar: „ Arco Ehituse müügiga on lõpetatud oluline osa Arco Vara
grupi tegevusstrateegia muutmisel kinnisvaraarenduse ning teenindusega seotud
ettevõtteks.“
Arco Ehituse ostja, Stratcorp OÜ, ei ole Arco Vara lähikondlane ning tehing ei
ole käsitletav tehinguna lähikondsega NASDAQ OMX Tallinna Börsi reglemendi osa
"Nõuded Emitentidele" tähenduses.
Vastavalt lepingu tingimustele ei jätka ettevõte enam tegevust OÜ Arco Ehituse
nime all.
Arco Ehituse võõrandamine omab olulist mõju AS Arco Vara majandustegevusele.

OÜ Arco Ehitus ei ole maksnud dividende, ettevõtte osakapitali suuruseks on
49000 eurot ning ettevõtte kasum osa kohta on negatiivne.
OÜ Arco Ehitusel kohustused moodustavad 31.12.2013 seisuga 1980 tuhat eurot,
sellest kohustused emaettevõtte ees 432 tuhat eurot. Ettevõttel on varasid ca
1049 tuhat eurot. Kohtuvaidlustega seotud nõudeid bilansis ei ole, mistõttu
ettevõtte netoväärtus sõltub suuresti sellest, kuidas lahenevad kohtuvaidlused.
Ostja eesmärgiks on menetleda kõik OÜ-ga Arco Ehitus seotud kohtuvaidlused
lõpuni ning saavutada kohtuvaidluste lõppedes ettevõttele positiivne rahavoog
ja tegevuse jätkamine.
OÜ Arco Ehitusega on seotud järgmised olulisemad kohtumenetlused

AS Arco Vara on andnud käendusi, hüpoteeke ning muid tagatisi seoses OÜ Arco
Ehituse poolt valminud ehitusobjektide garantiiperioodidega 556 tuhande euro
eest. Kõik kohustused lõpevad ehituste garantiiperioodide lõppemisega, millest
viimane saabub novembris 2015.
OÜ Arco Ehituse juhatuse liikmeks kuni osa müügini oli Evelin Kanter ja uueks
juhatuse liikmeks on Kalev Sakjas.

Title
Arco Vara Ltd sold Arco Ehitus Ltd
Message
Due to changes in group strategy Arco Vara discontinued construction activities
(including environmental construction) as a core business line since the end of
2013.
Therefore Arco Vara Ltd sold 100% of shares of subsidiary company Arco Ehitus
to Stratcorp Ltd on 14 of February 2014. Sale price of shares consists of two
parts:
a) At the transfer of ownership 10 thousand euros;
b) Buyer will pay 30 per cent of proceeds of two legal disputes-with
Ministry of Education and Research and with Loksa Haljastus Ltd. Dividend
income tax will be paid on profeeds.
Manager of Group added,“ With sale of Arco Ehitus Ltd. we have concluded an
important step in reforming Arco Vara group into company focused solely on
development of real estate and offering related services.“
The buyer, Stratcorp Ltd, is not related to Arco Vara Group and transaction is
not considered as a transaction with a related party (according to NASDAQ OMX
Tallinna Stock Exchange rules of "Requirements to Emitent.
According to sales agreement company will not continue under name of Arco
Ehitus Ltd.

Arco Ehitus Ltd has not paid dividends, common stock is 49 thousand euros.
Liabilities of Arco Ehitusel are as of 31.12.2013 1980 thousand euro, including
432 thousand euros what is owned to parent company. Company has total assets
of ca 1049 thousand euros
The claims related to legal disputes are not included into assets , therefore
company value is higly related to outcome of legal disputes.
Aim of buyer is to finish al leagal disputes with positive cash flow for

Arco Vara has given warranties, mortgages and other collaterals related to Arco
Ehitus Ltd in amount of 556 thousand euros . All collaterials are given related
to construction warranty period ( 720 days). Last warranty ends in November
2015.
Member of management board of Arco Ehituse till sale was Evelin Kanter and
after sale new member of board is Kalev Sakjas.
