AS Ekspress Grupp esitas koos osaühinguga Suits Meedia täna, 15. oktoobril
2013, Konkurentsiametile koondumise teate ühise valitseva mõju omandamise kohta
aktsiaseltside SL Õhtuleht, Ajakirjade Kirjastus ja Express Post üle.
Koondumise läbiviimise peamiseks eeltingimuseks on Konkurentsiametilt vastava
loa saamine. Koondumise käigus ostab OÜ Suits Meedia AS-ilt Ekspress Grupp
aktsiaseltside SL Õhtuleht, Ajakirjade Kirjastus ja Express Post aktsiad pärast
seda, kui AS Ekspress Grupp on need omandanud AS-ilt Eesti Meedia vastavalt
pooltevahelistele aktsionäride lepingutele. OÜ Suits Meedia ja AS-i Ekspress
Grupp vahel sõlmiti 15. oktoobril 2013 sellekohane kavatsuste protokoll.
Koondumise käigus ei võõranda AS Ekspress Grupp talle hetkel kuuluvaid
aktsiaid. OÜ Suits Meedia ainuosanikuks on AS Giga, mille ainuaktsionäriks läbi
valdusäriühingu on Janek Veeber.

AS Ekspress Grupp submitted notification of concentration to the Estonian Competition Authority

Today, on 15 October 2013 AS Ekspress Grupp together with the private limited
company Suits Meedia submitted a notification of concentration to the Estonian
Competition Authority regarding acquisition of shared dominant influence on
public limited companies SL Õhtuleht, Ajakirjade Kirjastus and Express Post.
Obtaining permit from the Estonian Competition Authority is a main prerequisite
for conducting the concentration. In the process of concentration, OÜ Suits
Media purchases the shares in the public limited companies SL Õhtuleht,
Ajakirjade Kirjastus and Express Post from AS Ekspress Grupp after AS Ekspress
Grupp has acquired the shares from AS Eesti Meedia according to the
Shareholders Agreements between the parties. OÜ Suits Meedia and AS Ekspress
Grupp have concluded a corresponding letter of intent on 15 October 2013. In
the process of concentration, AS Ekspress Grupp will not transfer shares
currently owned by the company.The sole shareholder of OÜ Suits Media is AS
Giga, whose sole shareholder through a holding company is Janek Veeber.
