Tallinn, Eesti, 2011-12-05 15:35 CET (GLOBE NEWSWIRE) -- AS Merko Ehitus nõukogu ja juhatus otsustasid 2. detsembril 2011.a. toimunud nõukogu koosolekul muuta grupi juhtimisstruktuuri. Muudatuste eesmärkideks on lahutada kontserni ja Eesti tootmistegevuse juhtimine ning ressursside efektiivsem jaotamine kontserni ärivaldkondade vahel. Muudatuste läbiviimiseks on Eestis asutamisel uus äriühing AS Merko Ehitus Eesti, kuhu koondatakse kogu Eestis toimuv ehitustegevus. Kontserni siseselt võõrandatakse Eestis ehitusega tegelev äriüksus (ettevõte) AS-ile Merko Ehitus Eesti. Tänane AS Merko Ehitus muutub nn. holding- ehk valdusettevõtteks, kes iseseisvalt tootmistegevusega ei tegele. Tootmistegevus koondub igas riigis, kus tegutsetakse, vastavas riigis registreeritud äriühingusse - nagu täna tegeleb tootmistegevusega Lätis SIA Merks või Leedus UAB Merko Statyba. Pärast ehitustegevuse võõrandamist tütarettevõttele jäävad holdingettevõtte varade hulka tütarettevõtete osalused ja kinnisvaraarendustegevuseks vajalikud kinnistud ja vastav arendustegevus. Suuremate projektide puhul jätkatakse eri riikides tegutsevate äriühingute vahelist koostööd nii ühispakkumiste tegemisel kui ehitustööde teostamisel. Valdusfirma põhitegevuseks jääb Merko Ehitus kontserni erinevate äriühingute strateegiate väljatöötamine ning elluviimine eestkätt ressursside pikemaajalise planeerimise kaudu. Senine AS Merko Ehitus juhatus asub juhtima AS-i Merko Ehitus Eesti. Struktuuri muudatus kavatsetakse läbi viia pärast aastavahetust. Alates tänasest töötab AS Merko Ehitus arendusdirektorina pikaajalise finantssektori kogemusega Andres Trink, kes peale muudatuste elluviimist asub juhtima valdusettevõtet. A planned structural change in Merko Ehitus

Tallinn, Estonia, 2011-12-05 15:35 CET (GLOBE NEWSWIRE) -- At the Supervisory Board meeting on December 2, 2011, the Supervisory Board and the Management Board of AS Merko Ehitus decided to change the management structure of the Group. The objective of the changes is to separate the management of the Group and the production activities in Estonia and to achieve more efficient distribution of resources between the business areas of the Group. For the execution of these changes a new company, AS Merko Ehitus Eesti, is being established in Estonia, which will cover all the construction activities that are performed in Estonia. Inside the Group, the business unit (enterprise) that conducts construction activities in Estonia will be transferred to AS Merko Ehitus Eesti. The current AS Merko Ehitus will become a holding company, who will not be carrying out any independent production activities. The production activities will be centralised in each country of operation under the company registered in the respective country - such as SIA Merks, who is currently conducting production activities in Latvia or UAB Merko Statyba in Lithuania. After the transfer of the construction activities to the subsidiary, the assets of the holding company will include the shares of subsidiaries and the real estates required for real estate development, and the respective development activities. In case of larger projects, the cooperation between the companies operating in different countries will continue both through joint tenders and construction works. The main activities of the holding company will be the development and implementation of the strategies of the different companies of Merko Ehitus Group primarily through a long-term planning of resources. The previous management of AS Merko Ehitus will become the management of AS Merko Ehitus Eesti. The structural change is planned to be implemented after the turn of the year. As of today, the Development Director of AS Merko Ehitus will be Andres Trink, who has a long experience in the financial sector, and who will start running the holding company after the implementation of the changes.
