Nordeconi kontserni tütarettevõte Eurocon OÜ (Nordecon AS osalus 64%) võõrandas
kontsernisisese tehinguga oma 100% osaluse Ukrainas registreeritud äriühingus
Eurocon Ukraine TOV (koos tütar- ja sidusettevõtetega). Ettevõtte uueks
omanikuks on Eurocon Vara OÜ (Nordecon AS osalus 100%). Eurocon Vara OÜ võtab
üle seni Eurocon OÜ-l olnud Nordeconi kontserni Ukrainas tegutsevate
äriühingute valdusettevõtte rolli. Tegemist on kontsernisisese
ümberstruktureerimisega, mille eesmärk on viia vastavusse kontserni
emaettevõtte Nordecon AS poolt Ukrainas võetud riskide ulatus sealt saadavate
hüvedega.
Eurocon Ukraine TOV tegeleb ehitusteenuse (peamiselt erasektori tellijad)
osutamisega Ukrainas. Eurocon Ukraine TOV aktsiakapitali suurus on 18 500 UAH
(ligikaudu 1 735 EUR). Ukraina konkurentsiamet andis loa aktsiate ülemikuks
jaanuaris 2012.
Tehing ei avalda olulist mõju Nordecon kontserni tegevusele ega ole käsitletav
olulise osaluse omandamisena NASDAQ OMX Tallinna börsi reglemendi osa "Nõuded
Emitentidele" tähenduses. Nordecon AS nõukogu ja juhatuse liikmed ei ole
tehingust muul viisil isiklikult huvitatud.

Nordeconi kontsern hõlmab ettevõtteid, mis on keskendunud hoonete ja rajatiste
ehitamise projektijuhtimisele ja peatöövõtule. Geograafiliselt tegutsevad
kontserni ettevõtted täna Eestis, Ukrainas ja Soomes. Kontserni emaettevõte
Nordecon AS on registreeritud ja asub Tallinnas, Eestis. Kontserni kuulub
lisaks emaettevõttele üle 10 tütarettevõtte. Kontserni 2010. aasta
konsolideeritud müügitulu oli 99,3 miljonit eurot. Nordeconi kontsern annab
hetkel tööd ligikaudu 700 inimesele. Alates 18.05.2006 on emaettevõtte aktsiad
noteeritud NASDAQ OMX Tallinna börsi põhinimekirjas.

Nordecon group subsidiary Eurocon OÜ (Nordecon AS shareholding 64 per cent)
sold its wholly-owned Ukrainian registered subsidiary Eurocon Ukraine TOV
(incl. its subsidiaries and associates) to Eurocon Vara OÜ (wholly-owned
subsidiary of Nordecon AS). Eurocon Vara OÜ shall overtake from Eurocon OÜ the
role of Nordecon’s holding company of its Ukrainian entities. The purpose of
this intra-group restructuring is to achieve the proper alignment of parent
company Nordecon AS’ risks and expected returns in Ukraine.
Eurocon Ukraine TOV is a provider of construction services (mainly to private
sector clients) in Ukraine. Its share capital is of 18,500 UAH (approximately
1,735 EUR). The Antimonopoly Committee of Ukraine approved the transaction in
January 2012.
The transaction does not have material economical effect on the activities of
Nordecon group and does not qualify as an acquisition of significant holding
within the meaning of “Requirements for Issuers” of the NASDAQ OMX Tallinn
Stock Exchange regulations. The members of the supervisory board and management
board of Nordecon AS do not have any other personal interests in the
incorporation of the company.
