Tallinn, Eesti, 2011-01-03 09:15 CET (GLOBE NEWSWIRE) -- Inglisekeelses teates
oli ekslikult näidatud ühendamise lõppkuupäevana 31. detsember 2011.
Eestikeelne teade esitatakse muutmata kujul.
Seisuga 31. detsember 2010 on lõpule viidud kõik toimingud, mis puudutavad
Nordeconi kontserni 100%-liste tütarettevõtete Nordecon Infra AS ja Nordecon
Ehitus AS ühendamist emaettevõttega Nordecon International AS (ühendamisega
seotud varasemad börsiteated on avalikustatud 13. september 2010; 02. novembril
2010; 19. novembril 2010).
Ühendamise tulemusel lõpetasid Nordecon Infra AS ja Nordecon Ehitus AS tegevuse
ning nende õigusjärglaseks sai Nordecon International AS, mis jätkab
äritegevust Nordecon AS ärinime all. Nordeconi kontsern jätkab äritegevust oma
kõikides senistes tegevusvaldkondades.
Vastavalt äriseadustiku § 391 lõikele 4 läksid ühinemisel ühendatavate Nordecon
Infra AS ja Nordecon Ehitus AS vara ja kohustused üle Nordecon ASle. Nordecon
Infra ASiga ja Nordecon Ehitus ASiga sõlmitud lepingud jäävad kehtima
ühendatavate ühingute õigusjärglase Nordecon ASiga.
Nordecon AS juhatuse liikmed on Jaano Vink (juhatuse esimees), Avo Ambur, Marko
Raudsik ja Erkki Suurorg. Info juhatuse liikmete kohta on toodud 02. novembril
2010 avaldatud börsiteates.
Nordeconi kontsern hõlmab ettevõtteid, mis on keskendunud hoonete ja rajatiste
ehitamise projektijuhtimisele ja peatöövõtule. Geograafiliselt tegutsevad
kontserni ettevõtted täna Eestis, Ukrainas ja Soomes. Kontserni emaettevõte
Nordecon AS on registreeritud ja asub Tallinnas, Eestis. Kontserni kuulub
lisaks emaettevõttele üle 15 tütarettevõtte. Kontserni 2009. aasta
konsolideeritud müügitulu oli 155 miljonit eurot. Nordeconi kontsern annab
hetkel tööd ligikaudu 750 inimesele. Alates 18.05.2006 on emaettevõtte aktsiad
noteeritud NASDAQ OMX Tallinna Börsi põhinimekirjas.

CORRECTION: Completion of merger procedures of Nordecon AS
Tallinn, Estonia, 2011-01-03 09:15 CET (GLOBE NEWSWIRE) -- The correct date for
the completion of merger procedures is 31 December 2010, not 31 December 2011.
The correct announcement follows:
The procedures aimed at merging Nordecon International AS' wholly-owned
subsidiaries Nordecon Infra AS and Nordecon Ehitus AS with the parent company
have been successfully completed as of 31 December 2010 (related company
announcements have been published on 13 September 2010; 2 November 2010; 19
November 2010).
As a result Nordecon Infra AS and Nordecon Ehitus AS ceased their existence as
individual companies and Nordecon International AS became their legal successor
under a new business name Nordecon AS. Nordecon Group will continue in all its
current operating segments.
As per Companies Act § 391 section 4 all assets and liabilities of the merged
subsidiaries Nordecon Infra AS and Nordecon Ehitus AS have been transferred to
Nordecon AS. All contracts signed with Nordecon Infra AS and Nordecon Ehitus AS
will remain in force in their legal successor Nordecon AS.
The members of management board of Nordecon AS are Mr. Jaano Vink (chairman),
Mr. Avo Ambur, Mr. Marko Raudsik and Mr. Erkki Suurorg. Information about the
board members was published in company announcement on 2 November 2010.

construction project management and general contracting in the buildings and
infrastructures segment. Geographically the Group operates in Estonia, Ukraine
and Finland. The parent of the Group is Nordecon AS, a company registered and
located in Tallinn, Estonia. In addition to the parent company, there are more
than 15 subsidiaries in the Group. The consolidated revenue of the Group in
2009 was 155 million euros. Currently Nordecon Group employs nearly 750 people.
Since 18 May 2006, the company's shares have been quoted in the main list of
