4. veebruaril võtsid AS-i Premia Tallinna Külmhoone ainuaktsionär AB „Premia
KPC“, Saaremere Kala AS-i ainuaktsionär AS Premia Foods, Vettel OÜ ainuosanik
Saaremere Kala AS ning GourmetHouse OÜ ainuosanik Saaremere Kala AS vastu
otsused nimetatud ühingute aktsia- ja osakapitalide ümberarvestamiseks
eurodesse.
Nimetatud otsuste kohaselt on AS Premia Foods kontserni kuuluvate Eesti
ühingute aktsia-osakapitalid järgmised:

Aktsia- ja osakapitalide ümberarvestamisel ümardati kõik aktsia- ja
osakapitalid lähimate võimalike suurusteni.
Seoses aktsia- ja osakapitalide ümberarvestamisega eurodesse muudeti ka kõikide
ülalviidatud ühingute põhikirju. Põhikirjade muudetud versioonidega on võimalik
tutvuda äriregistris.
Lisaks aktsia- ja osakapitalide ümberarvestamisele eurodesse võeti kõikide
ühingute osas vastu otsused audiitori valimise kohta. Kõikide ühingute
audiitoriks valiti Rimess OÜ (registrikood 10384467, registreeritud aadress
Ahtri 6a, Tallinn, 10151) ning otsustati tasustada audiitori tegevus vastavalt
audiitoriga sõlmitavatele lepingutele.
Ülalkirjeldatud muudatused äriregistris ja Eesti Väärtpaberite Keskregistris
tehakse eelduslikult käesoleva nädala jooksul.
AS-i Premia Foods aktsiakapitali ümberarvestamine eurodesse ja sellega seoses
ka põhikirja muutmine pannakse kavandatava erakorralise üldkoosoleku
päevakorda. Samuti pannakse nimetatud erakorralise üldkoosoleku päevakorda
Rimess OÜ valimine AS-i Premia Foods audiitoriks.

On 4 February, AB „Premia KPC“, the sole shareholder of AS Premia Tallinna
Külmhoone; AS Premia Foods, the sole shareholder of Saaremere Kala AS;
Saaremere Kala AS, the sole shareholder of Vettel OÜ; and Saaremere Kala AS,
the sole shareholder of GourmetHouse OÜ, adopted the resolutions on converting
the share capitals of the referred companies into euro.
According to the above-mentioned resolutions, the share capitals of the
Estonian companies belonging to the group of companies of AS Premia Foods are
as follows:

Upon the conversion of the share capitals, all the share capitals have been
rounded up or down to the closest possible amounts.
In connection with the conversion of the share capitals into euro, all the
Articles of Association of the referred companies have been amended. The
amended versions of the Articles of Association will be available in the
Commercial Register.
In addition to the conversion of the share capitals into euro, the resolutions
on appointment of an auditor were adopted in respect of all the companies in
question. Rimess OÜ (register code 10384467, registered address Ahtri 6a,
Tallinn, 10151) was appointed as an auditor of all the companies and it was
decided to remunerate the work of the auditor according to agreements executed
with the latter.
The above-mentioned changes in the date of the Commercial Register and the
Estonian Central Register of Securities are expected to be registered within
this week.
The conversion of the share capital of AS Premia Foods into euro and amendments
to the Articles of Association connected with the conversion will be added to
the agenda of the planned extraordinary General Meeting of shareholders. In
addition to the conversion of the share capital into euro, the appointment of
Rimess OÜ as the auditor of AS Premia Foods will be included in the agenda of
the referred planned extraordinary General Meeting of shareholders.
