Õiguskantsler vaidlustas tariifimääruse Riigikohtus

Message

Õiguskantsler Indrek Teder on pöördunud Eesti Vabariigi Riigikohtu poole
taotlusega tunnistada kehtetuks Tallinna linnavalitsuse 30. septembri 2009.a
määrus number 75, mis kehtestas vee- ja kanalisatsioonitariifid Tallinnas
alates 1. jaanuarist 2010. 

Õiguskantsler on pöördunud Riigikohtu poole taotlusega tunnistada määrus
kehtetuks, sest see on tema hinnangul vastuolus ühisveevärgi ja
-kanalisatsiooniseaduse ning põhiseadusega. Õiguskantsler on väitnud, et
Tallinna linnavalitsus ei ole täitnud õiguskantsleri 24. märtsil
esitatudettepanekut viia määrus kooskõlla ülalmainitud õigusaktidega ning
seetõttu vaidlustab määruse Riigikohtus. 

AS Tallinna Vesi on alati käitunud vastavalt kõikidele õigus- ja haldusaktidele
ning lepingutele. AS-i Tallinna Vesi ja Tallinna linna vahel sõlmitud
Teenusleping ütleb selgelt, et kokkulepitud tariifimehhanism vastab
ühisveevärgi ja -kanalisatsiooniseadusele. 

Ettevõte ei pea kohaseks kommenteerida, kas Tallinna linn on vee- ja
kanalisatsioonitariifide määramisel nõuetekohaselt järginud õigusaktidega
kehtestatud menetlust. 

Tuginedes Konkurentsiameti poolt teostatud mittetäielikul ning ebatäpselt
analüüsil, on Õiguskantsler jõudnud eksliku järelduseni, et Tallinna linn on
vee-ettevõtjale taganud põhjendamatult suure tulukuse. 

Konkurentsiameti analüüs oli Konkurentsiameti enda sõnul vaid simulatsioon,
s.t. see käsitles hüpoteetilist olukorda, kui vastav valdkond oleks teisiti
reguleeritud. Simulatsioone ei saa ega tohi kasutada kindlate ja lõplike
järelduste tegemiseks, millele on AS Tallinna Vesi korduvalt juhtinud nii
Konkurentsiameti kui ka õiguskantsleri tähelepanu. 

Veelgi olulisemana tuleb rõhutada, et Konkurentsiameti poolt nende
simulatsioonis välja arvutatud tulukuse määr, millele tugines ka õiguskantsler
oma 24. märtsi ettepanekus, on väär. 

Konkurentsiamet on arvutanud AS-i Tallinna Vesi keskmiseks kaalutud
kapitalikuluks (WACC) 2008. aastal 8,31 protsenti. Samas ei arvestanud
Konkurentsiameti analüüs, et keskmine inflatsioonimäär samal aastal oli 10,4
protsenti, millest tulenevalt on tulukus negatiivne, -1,9 protsenti. Selline
arvutuskäik on vale ning ei vasta Konkurentsiameti poolt teistes
majandusharudes seatud põhieesmärgile, milleks on - „tagada investoritele
vastuvõetav tulu nende poolt investeeritud kapitalilt ehk vähemalt samaväärne
tulu, mida nad saaksid teistelt sama riskiastmega investeeringutelt“. 

AS Tallinna Vesi on analüüsinud oma tulukust ning ettevõte usub, et
reguleeritud avalike teenuste osas vastab AS Tallinna Vesi rahvusvahelisele
parimale majandusregulatsiooni praktikale võrreldavate ettevõtete seas üle
maailma. Kasutades arvutuste tegemiseks sama metoodikat, mida kasutab Inglise
ja Walesi veeregulaator Ofwat, keda tihti tsiteerivad nii Konkurentsiamet kui
ka õiguskantsler, on AS-i Tallinna Vesi investeeritud kapitali tulukuse määra
keskmine olnud alates 2001. aastast vähem kui kaheksa protsenti. 

AS Tallinna Vesi informeerib Ettevõte aktsionäre antud menetluse edasistest
olulistest arengutest.

Title

Legal Chancellor challenges tariff decree in the Estonian Supreme Court

Message

Estonia's Legal Chancellor, Mr Indrek Teder, has turned to the Estonian Supreme
Court to challenge the Tallinn City Government's 30.09.2009 decree nr 75 that
established water and sewerage tariffs in Tallinn from 1 January 2010. 

The Legal Chancellor is turning to the Supreme Court to declare the decree
legally null and void due to it being in his opinion in violation of the public
water and sewerage services act and the constitution. The Legal Chancellor has
stated that the Tallinn City Government has not implemented the Legal
Chancellor's proposal from 24th of March to bring the decree into accordance
with the aforementioned acts and is therefore challenging the matter in Supreme
Court. 

AS Tallinna Vesi has always acted in accordance with all legislative and
administrative acts and agreements. The Services Agreement between the City of
Tallinn and AS Tallinna Vesi explicitly states that the tariff mechanism is in
accordance with the Public Water and Wastewater Act. 

It is not for the Company to comment on whether or not the City of Tallinn has
complied with due legal process in approving the tariffs. 

The Legal Chancellor has drawn erroneous conclusions on the basis of the
Competition Authority's incomplete and incorrect analysis, stating , that the
City of Tallinn has guaranteed an unjustifiably high rate of return for the
water company.  According to the Competition Authority itself, their analysis
is only a simulation, i.e. a hypothetical situation, if the respective field
were regulated differently. Simulations cannot and should not be used to draw
firm conclusions, as pointed out by AS Tallinna Vesi to the Competition
Authority and to the Legal Chancellor on numerous occasions. 

Most importantly, the rate of return calculated by the Competition Authority in
their simulation, which the Legal Chancellor relied on in his 24th March
proposal, is incorrect. 
The Competition Authority calculated that in 2008, the weighed average cost of
capital (WACC) for AS Tallinna Vesi was 8.31%, when the average inflation rate
that year was 10.4%. This would lead to a negative return of -1.9%. This
calculation is wrong and clearly not in accordance with the Competition
Authority's own objectives, which is - „ensuring a revenue acceptable for
investors from the assets invested by them or at least revenue of equal value,
which they could get from other investments with the same risk level“. 

AS Tallinna Vesi has analyzed its rate of return and where regulated business
is concerned, believes these are in accordance with international best
practices for comparable enterprises around the world. Basing the calculations
on the methodology applied by Ofwat, the water regulator in England and Wales,
often cited by the Competition Authority and the Legal Chancellor, the
Company's real return on invested capital since the privatization in 2001 has 
averaged less than 8%. 

AS Tallinna Vesi shall inform its shareholders of further material developments
regarding this proceeding.
