ASi Ekspress Grupp ühinemine 100%-lise tütarettevõttega AS Maaleht

30.12.2009 sõlmisid AS Ekspress Grupp ja AS Maaleht ühinemislepingu ning AS Maaleht loetakse ühinemismenetluse lõppemisel likvideerituks. Ühinemise tagajärjel ASi Ekspress Grupp aktsiakapitali ei suurendata. Kuivõrd ASi Maaleht ainuaktsionär on AS Ekspress Grupp, siis ühinemisaruannet ei koostata. Ühendav ühing jätkab tegevust ärinimega AS Ekspress Grupp. Ühinemisel annab ühendatav ühing kogu oma vara tervikuna üle ühendavale ühingule. AS Maaleht ettevõte võõrandati 01.10.2009 Eesti Ajalehed ASile (vt börsiteade 02.09.2009). Ühinemise bilansipäev on 1.12.2009. Ühinemises osalevate ühingute juhatuse ja nõukogu liikmetele ei anta ühinemisega seoses erisoodustusi. Ühinemislepingu osapooled on Tallinna Börsi reglemendi mõistes seotud isikud. AS Ekspress Grupp's merger with 100% subsidiary AS Maaleht

On 30.12.2009, AS Ekspress Grupp and AS Maaleht signed a merger agreement and at the end of the merger proceeding AS Maaleht is deemed to be liquidated. The share capital of AS Ekspress Grupp will not be increased as a result of the merger. As AS Ekspress Grupp is the sole shareholder of AS Maaleht, no merger report will be compiled. The acquiring company will continue business under the name AS Ekspress Grupp. At the merger, the company being acquired transfers all its assets to the acquiring company. The company AS Maaleht was transferred to Eesti Ajalehed AS on 01.10.2009 (see stock exchange release from 02.09.2009). The balance day of the merger is 1.12.2009. With regard to the merger, no fringe benefits will be granted to the members of the management board and supervisory board of the companies participating in the merger. The parties of the merger agreement are connected persons within the meaning of the rules and regulations of Tallinn Stock Exchange.
