AS Norma enamusaktsionär Autoliv AB otsustas kutsuda alates 01.06.2009.a AS Norma nõukogust tagasi Pär Malmhagen (sünniaeg 03.02.1963) ja Leif Berntsson (sünniaeg 29.11.1955) ning nimetada AS Norma nõukogu uuteks liikmeteks Günter Brenner (sünniaeg 30.10.1963) ja Lars Sjöbring (sünniaeg 11.12.1967), 3 (kolmeks) aastaks volituste algusega 01.06.2009.a. Lars Sjöbring ja Günter Brenner kumbki ei oma AS Norma aktsiaid. Vastavalt äriseadustiku § 319 lõikele 2 ja AS Norma põhikirja punktile 4.4, võib üldkoosolekute vahelisel ajal aktsiaseltsi enamusaktsionär kutsuda tagasi mitte enam kui kolm üldkoosolekul valitud nõukogu liiget ja nimetada nende asemele uued nõukogu liikmed, kui vastav vajadus tekib varem kui 1 (üks) kuu enne üldkoosolekut. Alates 01.06.2009.a on AS Norma nõukogu koosseis alljärgnev: nõukogu esimees - Halvar Jonzon ja nõukogu liikmed - Aare Tark, Günter Brenner, Toomas Tamsar, Raivo Erik ja Lars Sjöbring. Lars Sjöbring on alates 03.09.2007.a Autolivi asepresident, juriskonsult, üldnõunik ja peasekretär. Enne liitumist Autoliviga töötas hr Sjöbring erinevates ettevõtetes ja ametikohtadel: Telia AB; Skadden Arps, Slate, Meagher & Flom LLP; ning Nokia Corp. (viimati juriidilise haldusala direktorina, liitmis- ja soetamistehingud). Hr Sjöbring omab juristi magistrikraade Lundi (Rootsi) ülikoolist, Amsterdami (Holland) Rahvusvaheliste suhete koolist (ASIR) ning Fordhami (New York, USA) Õigusülikoolist. Hr Sjöbring omab luba praktiseerida New Yorgi osariigis. Günter Brenner on alates 01.01.2009.a Autolivi asepresident, Euroopa regioon. Hr Brenner on hariduselt - mehaanika insener, spetsialiseerunud tootmistehnoloogia alale. Hr Brenner on varem töötanud järgmistes ettevõtetes ja ametikohtadel: alates 2001.a - TRW Euroopa peakorter (Alfdorf, Saksamaa), tegevdirektor; tehased Euroopas ja Koreas, tööstusettevõtte juht (vastutusala - ohutusrihmad); alates 2002.a - TRW, asepresident, Euroopa regioon; alates 2007. a augustist - TRW, asepresident (tootmine). Changes in Supervisory Board
Message
AS Norma's majority shareholder Autoliv AB decided to recall the following members from the Supervisory Board of AS Norma as from 1 June 2009: Pär Malmhagen (DOB 03.02.1963) and Leif Berntsson (DOB 29.11.1955), and to appoint Günter Brenner (DOB 30.10.1963) and Lars Sjöbring (DOB 11.12.1967) as new members of the Supervisory Board for 3 (three) years. The change will take effect on 1 June 2009. Lars Sjöbring and Günter Brenner hold no shares in AS Norma. According to subsection 319 (2) of the Commercial Code and article 4.4 of the articles of association of AS Norma, the company's majority shareholder may, during the time between general meetings, remove not more than three members of the supervisory board elected at a general meeting, and appoint new members to replace them if such a need arises earlier than 1 (one) month before a general meeting. As of 1 June 2009, the composition of AS Norma's Supervisory Board is as follows: chairman - Halvar Jonzon; members - Aare Tark, Günter Brenner, Toomas Tamsar, Raivo Erik and Lars Sjöbring. Lars Sjöbring is Autoliv's Vice President Legal Affairs, General Counsel and Secretary, appointed September 3, 2007. Prior to joining Autoliv, Mr Sjöbring held various positions with Telia AB; Skadden Arps, Slate, Meagher and Flom LLP; and Nokia Corp. (most recently as Director Legal, Mergers and Acquisitions). Mr Sjöbring holds Master of Law degrees from the University of Lund, Sweden; Amsterdam School of International Relations (ASIR), the Netherlands; and Fordham University School of Law, New York City, New York. Mr Sjöbring is admitted to practice in the State of New York. Günter Brenner is Autoliv's Executive Vice President, President Autoliv Europe, appointed January 1, 2009. Education - Mechanical Engineering, specialized in manufacturing technology. Position: from 2001 - TRW, Managing Director of European Headquarter in Alfdorf (Germany) and Lead Plant Manager responsible for seatbelt plants within OSS Europe and Korea; from 2002 - TRW, Vice President Operations, OSS Europe; from August 2007 on -TRW, Vice President Operations, OSS Global.
