ABC Grupp on sõlminud võlakirjainvestoritega kokkulepped, mille kohaselt investorid loobuvad õigusest nõuda võlakirjade ennetähtaegset lunastamist

18. juunil 2007 emiteeris ABC Grupi AS 6500 võlakirja, mille nimiväärtuste kogusumma on 6 500 000 eurot (edaspidi „Võlakirjad“). Võlakirjatingimuste kohaselt oli investoritel õigus Võlakirjad 18. juunil 2009 ennetähtaegselt emitendile tagasi müüa hinnaga, mis vastab nende nimiväärtuste ja kogunenud intressi summale. Seoses praeguse olukorraga krediidi- ja kapitaliturul ning emitendi vajadusega tagada ettevõtte tegutsemiseks vajalik likviidsus, on emitent pöördunud otse kõigi investorite poole ning palunud neil loobuda Võlakirjade tagasimüügi õigusest. Käesoleva aasta 12.-15. mail toiminud läbirääkimiste tulemusena sõlmis ABC Grupi AS kokkulepped tagasimüügiõigusest loobumise kohta (edaspidi „Loobumiskokkulepped“) investoritega, kellele kuulub 6213 Võlakirja nimiväärtuste kogusummaga 6 213 000 eurot, mis moodustab 95,58% Võlakirjaemissiooni mahust. Seega kuuluvad nimetatud Võlakirjad lunastamisele nende lunastamise tähtpäeval 18. juunil 2010 või varem, kui emitent kasutab oma Loobumiskokkulepetes sätestatud õigust Võlakirjad ennetähtaegselt lunastada. Ülejäänud investoritele, kellele kuulub 287 Võlakirja nimiväärtusega 287 000 eurot, mis moodustab 4,42% Võlakirjaemissiooni mahust, pakuti samuti Loobumiskokkulepet, kuid vastavalt Võlakirjaemissiooni korraldaja („Korraldaja“) poolt 20. mail 2009 edastatud teabele otsustasid nad kasutada oma õigust nõuda neile kuuluvate Võlakirjade ennetähtaegset lunastamist 18. juunil 2009. Loobumiskokkulepetes kokkulepitud tingimuste kohaselt teeb emitent kohe pärast investoritega Loobumiskokkulepete sõlmimist Võlakirjatingimustesse vastavad muudatused ning esitab muudetud tingimused Korraldajale ja kõigile Võlakirja investoritele kooskõlastamiseks. Kui Võlakirjatingimuste muutmine vastavalt Loobumiskokkulepetes sätestatud tingimustele õnnestub (st emitent, Korraldaja ja kõik Võlakirjade investorid kiidavad muudatused heaks), asendatakse Loobumiskokkulepped muudetud Võlakirjatingimustega. Võlakirjatingimuste muutmisega on alustatud ning emitent teavitab investoreid OMX Tallinna börsi kaudu, kui muudetud tingimused on heaks kiidetud. Loobumiskokkulepetes kokkulepitud investorite õigused ja kohustused, mis muutuvad hetkel kehtivate Võlakirjatingimustega võrreldes, on järgmised: 1. Investor nõustub mitte kasutama oma õigust nõuda Võlakirjade ennetähtaegset lunastamist, mis tuleneb Võlakirjatingimuste punktist 6.7. 2. Nimetatud õigusest loobumine ei mõjuta Investori õigust nõuda Võlakirjade ennetähtaegset lunastamist muudel Võlakirjatingimustes sätestatud alustel (nt emitendi poolt Võlakirjatingimustes antud kinnituste või võetud kohustuste rikkumise korral jne). 3. Investoril on õigus nõuda endale kuuluvate Võlakirjade kohest lunastamist järgmistel juhtudel: 3.1. Emitendi konsolideeritud intressikandvate kohustuste (st pangalaenude, liisingu, arvelduskrediidi ning muude Emitendi finantseerimisega seotud kohustuste), omakapitali ning põhivara jääkväärtuse negatiivse muutuse absoluutväärtus (põhivara jääkväärtus võrreldes väärtusega 31. detsembril 2008; kohaldatav ainult juhul, kui negatiivne muutus kajastub aasta- või poolaastaaruandes) kokku langeb alla 720 miljoni Eesti krooni; või 3.2. pärast Loobumiskokkuleppe sõlmimist muudetakse järgmiste äriühingute aktsiakapitali suurust (ükskõik kumma): a) AbeStock AS, registrikood 10344545; või b) ABC Motors AS, registrikood 10844561. Loobumiskokkulepetes kokkulepitud emitendi õigused ja kohustused, mis muutuvad hetkel kehtivate Võlakirjatingimustega võrreldes, on järgmised: 1. Emitent kohustub maksma investorile talle kuuluvate Võlakirjade eest igal intressimaksepäeval (vastavalt 18. detsembril 2009 ja 18. juunil 2010) lisaintressi 3,5% (7% aastas) investorile kuuluvate Võlakirjade nimiväärtuste kogusummast. 2. Emitendil on õigus lunastada kõik või mingi osa investorile kuuluvatest Võlakirjadest nende nimiväärtuse eest enne lunastamise tähtpäeva, teatades sellest investorile ühe kuu ette. Sellisel juhul on emitent kohustatud maksma intressi vastavalt Loobumiskokkulepetes kokkulepitule kuni Võlakirjade lunastamise päevani. Osalise lunastamise korral kehtivad Loobumiskokkulepped edasi nende investorile kuuluvate Võlakirjade suhtes, mida ei lunastatud. Kui emitent soovib lunastada Võlakirju käesoleva punkti kohaselt, on ta kohustatud teavitama kõiki investoreid, kes on sõlminud Loobumiskokkulepped, ning peab kas (i) lunastama kõik Võlakirjad, mida vastavad Loobumiskokkulepped hõlmavad, või (ii) osalise lunastamise korral ostma Võlakirju proportsionaalselt tagasi kõigilt investoritelt, kes on sõlminud Loobumiskokkulepped. a. Kui Võlakirjatingimusi ei õnnestu muuta, korraldatakse lunastamine ostu-müügi tehinguna ülekanne makse vastu põhimõttel, kandes vastavad Võlakirjad üle makse vastu, mis vastab Võlakirjade lunastamata väärtusele lunastamise päeval. Kui emitent on avaldanud soovi lunastada Võlakirjad käeoleva punkti kohaselt, kuid investor keeldub Võlakirju emitendile tagasi müümast, kaotab investor alates emitendi poolt soovitud lunastamise päevast õiguse saada Loobumiskokkulepetes sätestatud lisaintressi. Emitent on kohustatud tagama, et lunastamistehingu osapooltel on õiged arveldusandmed, mis võimaldavad tehingu edukalt lõpule viia. b. Kui Võlakirjatingimuste muudatused heaks kiidetakse, viiakse ennetähtaegne lunastamine läbi Võlakirjatingimustes sätestatu kohaselt. 3. Emitent loobub oma õigusest lasta välja täiendavaid võlakirju vastavalt Võlakirjatingimuste punktile 6.3. 4. Emitent on kohustatud teavitama investoreid viivitamata järgmiste äriühingute aktsiakapitali suuruse muutmisest: a) AbeStock AS, registrikood 10344545; ja b) ABC Motors AS, registrikood 10844561. 5. Emitent tagab, et kõik Võlakirjainvestoritega sõlmitud Loobumiskokkulepped sisaldavad võrdseid tingimusi, et tagada kõigi Võlakirjainvestorite võrdne kohtlemine. Muud tingimused, milles Loobumiskokkulepetes kokku lepiti: 1. Kui investor müüb või võõrandab endale kuuluvad Võlakirjad teisele isikule (edaspidi „Omandaja”), antakse õigus võõrandatavate Võlakirjade eest lisaintressi saada üle Omandajale investori, emitendi ja Omandaja vahel eraldi sõlmitava lepingu alusel, millega Omandaja omandab samad õigused ja kohustused kui need, mis on investoril Loobumiskokkuleppe kohaselt. Pooled ei tohi võõrandamislepingu sõlmimisega põhjendamatult viivitada. Juhul kui võõrandamislepingut ei sõlmita, ei omanda Omandaja ka õigusi, millest investor Loobumiskokkuleppes loobus seoses võõrandatavate Võlakirjadega. 2. Võlakirjatingimused ulatuses, mida Loobumiskokkulepetega ei muudeta, jäävad kehtima.

ABC Group has signed agreements with bond-investors to waive the put option for early redemption of bonds

On June 18th, 2007 ABC Group issued 6,500 bonds with a total nominal value of EUR 6,500,000 (the “Bonds”). Based on the Bonds terms, the Investors have the right to sell the Bonds back to the Issuer on June 18th, 2009 at the nominal value of a Bond plus accrued interest. In relation to the current nonfunctioning credit and capital markets and the Issuer's need to keep its company's operating liquidity at a sustainable level, the Issuer has approached directly all Investors and asked them to waive their right to sell their holding of the Bonds back to the Issuer for respective compensation. As a result of negotiations held from May 12th till May 15th, 2009, ABC Group has signed waiver agreements (hereinafter “Waiver Agreements”) with Investors holding 6,213 Bonds with a total nominal value of EUR 6,213,000, representing 95.58% of the Issue size. Therefore, these Bonds will be redeemed at maturity on June 18th, 2010 or earlier if the early redemption right agreed in the Waiver Agreements is exercised by the Issuer. The remaining Investors holding 287 Bonds with a nominal value of EUR 287,000, representing 4.42% of the Issue size, were also approached but decided to use their right to request early redemption of the Bonds owned by them on June 18th, 2009, according to the information obtained from the Arranger of the Bonds (the “Arranger”) on May 20th, 2009. Based on the terms agreed upon in the Waiver Agreement, the Issuer will proceed with amending the Bonds terms immediately following the conclusion of Waiver Agreements with the Investors and shall request approval of the changed terms from the Arranger and all the Investors. If the amendment of the Bond terms based on the Waiver Agreement is successful (i.e. the Issuer, the Arranger and all the Investors of the Bonds have approved changes), the Waiver Agreements will be replaced by the amended Bonds terms. The process for amending the Bond terms has started and the Issuer will inform the Investors through the OMX Tallinn Stock Exchange when the amended terms have been approved. The rights and obligations of Investors agreed in Waiver Agreements that have changed in comparison with the current Bonds terms are the following: 1. The Investor agrees not to use the Investor's early redemption right which it has based on Clause 6.7 of the Bonds terms. 2. The foregoing waiver does not affect the rights of any Investor to demand premature redemption of the Bonds on any other grounds as further stipulated in the Bond terms (e.g. breach of any of the Issuer's covenants under the Bond terms, etc). 3. The Investor shall have the right to demand immediate redemption of the Bonds owned by it in the following cases: 3.1. the Issuer's consolidated interest bearing liabilities (including bank loans, leasing, overdraft limits and other items related to financing of the Issuer), equity and the absolute value of a negative change in the total fixed assets residual value (the total fixed assets residual value compared to the value as of 31.12.2008; only applicable if negative change is recorded in annual or semi-annual reports) in total falls below 720 million EEK; or 3.2. the share capital of either of the following companies is changed after the conclusion of the Agreement: a) public limited company AbeStock AS, register code 10344545; and b) public limited company ABC Motors AS, register code 10844561. The rights and obligations of the Issuer agreed in Waiver Agreements that have changed in comparison with the current Bonds terms are the following: 1. The Issuer will pay the Investor on its holding of Bonds additional interest on each coupon payment date (on December 18th, 2009 and June 18th, 2010, respectively) that is equal to 3.5% (7% per annum) of the total nominal value of the Investor's holding of Bonds. 2. The Issuer has the right to redeem at par either all or some of the Bonds belonging to the Investor before maturity by giving a redemption notice to the Investor one month beforehand. In this case the Issuer will pay interest as agreed in the Waiver Agreements until the date of redemption of the Bonds. In case of partial redemption the Waiver Agreements shall continue in effect for the part of the Investor's Bonds not redeemed. If the Issuer wishes to redeem the Bonds based on this clause, the Issuer shall notify all the Investors who have concluded Waiver Agreements and shall either (i) redeem all the Bonds covered by the respective Waiver Agreements or (ii) in case of partial redemption redeem the Bonds proportionally from all the Investors who have concluded the Waiver Agreements. a. When the terms of the Bonds could not be amended, such redemption shall be arranged as a buy-sell DVP transaction on respective Bonds outstanding value on the day of redemption to be carried out on parties accounts. If the Issuer has requested redemption of the Bonds based on this clause but an Investor refuses to sell the Bonds back to the Issuer, the Investor shall lose its right to the additional interest described in the Waiver Agreements from the date of the requested redemption. The Issuer shall ensure that the parties to the redemption transaction have correct settlement details to successfully complete the transaction. b. When the amended terms are approved, early redemption will be exercised as described in the Bond terms. 3. The Issuer waives its right to issue additional bonds according to Clause 6.3 of the Bonds terms. 4. The Issuer must immediately inform the Investors of changes in share capital of the following companies: a) public limited company AbeStock AS, register code 10344545; and b) public limited company ABC Motors AS, register code 10844561. 5. The Issuer ensures that all the Waiver Agreements signed with Bonds Investors have identical terms to secure equal treatment of all the Bonds Investors. Other clauses that were agreed in the Waiver Agreements 1. If the Investor sells or otherwise transfers its holding of Bonds to another person (hereinafter the “Acquirer”), the right to additional interest in relation to the transferred holding of Bonds will be assigned to the Acquirer based on a separate agreement between the Investor, the Issuer and the Acquirer by which the Acquirer assumes the same rights and obligations as those of the Investor under the Waiver Agreement. The parties shall in no way delay the conclusion of the transfer agreement. For avoidance of doubt it is clarified that if the transfer agreement is not concluded then the Acquirer is not entitled to the rights waived by the Investor under the Waiver Agreement in relation to the transferred holding of Bonds. 2. The terms and conditions of the Bonds not affected by the Waiver Agreements will remain effective.
