Osaluse soetamine OÜ-s Unigate

AS-i Eesti Ehitus 100%-line tütarettevõte AS Linnaehitus ja AS Arealis sõlmisid 26.03.2009 ettevõtte osa ostu-müügi lepingu, millega AS Linnaehitus omandas AS-lt Arealis tema osaluse osaühingus Unigate. Omandatava osa nimiväärtus on 40 000 krooni (ligikaudu 2 556 eurot), mis moodustab 50% osakapitalist. Osade omandiõigus läks üle lepingu sõlmimise kuupäeval. OÜ Unigate on Eestis registreeritud ettevõte, mis tegutseb kinnisvaraarenduse (elamuehitus) tegevusvaldkonnas. Ettevõtte majandustegevus on seotud tema omandis olevate kinnistute arendamistegevusega, mis asuvad Tallinnas Paekalda tänaval. Osalus OÜ-s Unigate soetati vastavalt Eesti Ehitus kontserni strateegilistele eesmärkidele. Strateegia kohaselt on Kontsern 2009-2010 aastal valmistumas ette Eesti kinnisvaraturu uueks võimalikuks tõusuperioodiks peale 2010. aastat. Seetõttu luuakse Kontserni tütarettevõtetesse kinnistuportfell, mis võimaldab õigeaegselt alustada elamuarendust turusentimendi muutumise korral. Tehing on tehtud seotud osapoolega. AS Arealis on emitendi tuumikaktsionäri AS Nordic Contractors tütarettevõte. Tehingutingimuste kohaselt tasutakse ettevõtte osa eest fikseerituna 20 000 000 krooni (1 278 233 eurot) ning arendustegevuse tulemusest sõltuv muutuvosa järgmiste majandusaastate jooksul. Fikseeritud ja muutuvosa väärtuse koguhinnang tehingu sõlmimise ajal on võrreldav tehingu toimumise järgselt AS-le Linnaehitus kuuluva proportsionaalse osa OÜ Unigate kinnistute turuväärtusega. Sõltumatu hindaja poolt antud hinnangu kohaselt on turuväärtus ligikaudu 47 500 000 krooni (3 035 803 eurot). Tehing ei avalda olulist mõju Eesti Ehitus kontserni tegevusele ega ole käsitletav olulise osaluse omandamisena NASDAQ OMX Tallinna Börsi reglemendi osa "Nõuded Emitentidele" tähenduses. AS Eesti Ehitus nõukogu ja juhatuse liikmed ei ole tehingust muul viisil isiklikult huvitatud. Eesti Ehitus kontsern hõlmab ettevõtteid, mis on keskendunud hoonete ja rajatiste ehitamise projektijuhtimisele ja peatöövõtule. Geograafiliselt tegutsevad kontserni ettevõtted Eestis, Lätis, Leedus ja Ukrainas. Eestis on täiendavateks tegevusvaldkondadeks lisaks teedeehituse ja -hoolduse ning keskkonnaehituse ja betoonitööde otsetöövõtt. Kontserni emaettevõte on AS Eesti Ehitus, mis on registreeritud ja asub Tallinnas, Eestis. Kontserni kuulub lisaks emaettevõttele üle 20 tütarettevõtte. Kontserni 2008. aasta konsolideeritud müügitulu oli 3,9 miljardit krooni (247 miljonit eurot) ja konsolideeritud puhaskasum 171 miljonit krooni (11 miljonit eurot). Eesti Ehitus kontsern annab tööd rohkem kui 1 200 inimesele. Share purchase in OÜ Unigate

AS Eesti Ehitus wholly-owned subsidiary AS Linnaehitus and AS Arealis signed a share purchase agreement at 26 March 2009 by which AS Linnaehitus acquired from AS Arealis its participation in OÜ Unigate. The nominal value of share capital purchased of OÜ Unigate is 40,000 kroons (approximately 2,556 euros), i.e. 50 per cent of total shareholding. The title of ownership was passed at closing of agreement. OÜ Unigate is a company registered in Estonia that is operating in residential real estate development. The company's activities are related to developing land plots that it has ownership over. These land plots are situated in Tallinn, Paekalda Street. Participation in OÜ Unigate was acquired in connection with the Group's strategy. As per strategy, the Group is in years 2009-2010 preparing itself for the possible rise in Estonian real estate market after year 2010. Therefore the Group creates a land plot portfolio in its subsidiaries to timely begin residential real estate development as the market sentiment turns. The transaction is with a related party. AS Arealis is AS Eesti Ehitus majority shareholder's AS Nordic Contractors subsidiary. As per agreement the fixed price for the shareholding is 20,000,000 kroons (1,278,233 euros) and the contingent part of price is tied to the results of developing process. Combined the fixed and contingent price at the time of closing are comparable with the fair value of land plots of OÜ Unigate that AS Linnaehitus is proportionately entitled to. As per independent valuator the fair value is approximately 47,500,000 kroons (3,035,803 euros). The transaction does not have material economical effect on the activities of Eesti Ehitus Group and does not qualify as an acquisition of significant holding within the meaning of “Requirements for Issuers” of the NASDAQ OMX Tallinn Stock Exchange regulations. The members of the supervisory board and management board of AS Eesti Ehitus do not have any other personal interests in the incorporation of the company.
