STARMAN ESITAS TAOTLUSE OMA AKTSIATEGA KAUPLEMISE PEATAMISEKS
Message
AS Starman esitas 26. märtsil 2009.a. Tallinna Börsile taotluse peatada oma aktsiatega kauplemine alates 27. märtsist 2009.a. kuni aktsiate börsi põhinimekirjas noteerimise lõpetamiseni. Börsi Noteerimis- ja Järelevalvekomisjon otsustas 5. märtsil 2009.a. rahuldada AS Starman taotlus ning lõpetada AS Starman aktsiate noteerimine Tallinna Börsi põhinimekirjas alates järgmisest kuupäevast pärast EVK pidaja poolset vähemusaktsiate ülekandmist AS Starman põhiaktsionärile ja noteerimise lõpetamise tasu maksmist. Starman on esitanud EVK pidajale avalduse vähemusaktsionäridele kuuluvate aktsiate ülekandmiseks AS Starman põhiaktsionärile. EVK pidajalt saadud info põhjal eeldab AS Starman, et aktsiate ülekandmise kuupäevaks määratakse 31. märts 2009.a. Registripidaja kannab vähemusaktsiad Starmani põhiaktsionärile Baltic Moontech Investments Holding AS'le ja rahalise hüvitise vähemusaktsionäride pangakontodele automaatselt, ilma, et vähemusaktsionärid peaksid selleks täiendavaid avaldusi või korraldusi tegema. Tagamaks, et kõik investorite poolt AS Starman aktsiatega tehtavad börsitehingud jõutakse realiseerida enne aktsiate ülekandmise kuupäeva, on vajalik aktsiatega kauplemine peatada piisava ajavaruga enne aktsiate ülekandmise kuupäeva, võttes arvesse börsitehingute realiseerimise tavapärast tähtaega. AS STARMAN SUBMITTED AN APPLICATION TO STOP TRADING WITH SHARES
Message
On 26 March 2009, AS Starman submitted an application to Tallinn Stock Exchange to stop trading with AS Starman shares as of 27 March 2009 until delisting of the shares from the main list of Tallinn Stock Exchange. On 5 March 2009, the Listing and Surveillance Committee of Tallinn Stock Exchange decided to satisfy Starman's application to delist the shares of Starman from the main list as of the next day after the minority shares have been transferred to the majority shareholder of AS Starman by the registrar of the Estonian Central Register of Securities and the delisting fee is paid. AS Starman has submitted an application to the registrar of the Estonian Central Register of Securities to transfer the shares owned by the minority shareholders to the majority shareholder of AS Starman. On the basis of the information received from the registrar, Starman assumes that the day of transfer of the shares shall be 31 March 2009. The registrar of the Estonian Central Register of Securities will transfer minority shares to Baltic Moontech Investments Holding AS and monetary compensation to bank accounts of the minority shareholders automatically without the minority shareholders having to make any additional applications or orders. To ensure that all transactions carried out with shares of AS Starman are completed before the transfer day, it is necessary to stop the share trading with sufficient time reserve before the date of transfer of shares taking into consideration the usual term of realization of stock exchange transactions.
