Avalik siseteabe avalikustamine vastavalt MAR artiklile 17
Vilnius, 02. juuli 2026 – City Service SE (edaspidi „Äriühing”), Eesti õiguse alusel registreeritud äriühing (registrikood 12827710), teatab esimese järjekoha tagatud (senior secured) ja ennetähtaegselt lunastatavate ujuva intressimääraga võlakirjade (edaspidi „Võlakirjad”) edukast emiteerimisest esialgses emissioonimahus 100 000 000 eurot ja tähtajaga 4 aastat (ISIN: NO0013753319).
Võlakirjadele makstakse ujuva intressimääraga intressi, mis vastab 3-kuulisele EURIBOR-ile pluss 7,00% aastane marginaal, ning need on emiteeritud kuni 200 000 000 euro suuruse üldraamistiku alusel.
Võlakirjad müüdi mitmekesisele institutsionaalsete investorite ringile Põhjamaades ja Baltikumis, samuti rahvusvaheliselt.
Võlakirjade netotulu kasutatakse (i) UAB Axioma Servisas 100% osaluse omandamise rahastamiseks, (ii) teatud olemasolevate võlgade refinantseerimiseks ning (iii) üldiste äriühingu eesmärkide rahastamiseks.
Võlakirjad võetakse eeldatavasti pärast emissiooni kauplemisele Euronext Oslo Børs-il ja Frankfurdi Avatud Turul (Freiverkehr).
Pareto Securities AS, Frankfurdi filiaal tegutses tehingu ainsa korraldaja ja peakorraldajana (bookrunner). Cobalt tegutses Äriühingu õigusnõustajana ning Wikborg Rein Advokatfirma AS tegutses Pareto Securities AS õigusnõustajana.

Public disclosure of inside information according to Article 17 MAR
Vilnius, 02 July 2026 – City Service SE (the “Company”), a company registered under the laws of Estonia (reg. no. 12827710), today announces the successful placement of senior secured callable floating rate bonds with an initial issue amount of EUR 100,000,000 and a 4-year maturity (ISIN: NO0013753319) (the “Bonds”).
The Bonds will bear floating rate interest at three-month EURIBOR plus a margin of 7.00% per annum and were issued under a total framework of up to EUR 200,000,000.
The Bonds have been placed with a diverse group of institutional investors in the Nordic and Baltic region, as well as internationally.
The net proceeds from the Bonds will be used to (i) finance the acquisition of 100% of the shares in UAB Axioma Servisas, (ii) refinance certain existing indebtedness, and (iii) finance general corporate purposes.
The Bonds are expected to be admitted to trading on Euronext Oslo Børs and the Frankfurt Open Market (Freiverkehr) following issuance.
Pareto Securities AS, Frankfurt Branch acted as sole manager and bookrunner for the transaction. Cobalt acted as legal advisor to the Company, and Wikborg Rein Advokatfirma AS acted as legal advisor to Pareto Securities AS.
