Harju Elekter tütarettevõtjate ühinemine on lõpule viidud

AS Harju Elekter Group avaldas 02.10.2025 (https://view.news.eu.nasdaq.com/view?id=be8a63211d4fbe0fefa3ede5957550a2a&lang= et&src=listed) börsiteate, milles teavitas kontserni Eesti tütarettevõtjate- AS Harju Elekter ja Energo Veritas OÜ- ühinemisprotsessi alustamisest. Ühinemisotsused võeti vastu 01.12.2025 ning ühinemine kanti äriregistrisse 16.03.2026. Ühinemise tulemusena on Energo Veritas OÜ õigusjärglaseks AS Harju Elekter ning Energo Veritas OÜ kustutati äriregistrist. Ühinemise kandmisega äriregistrisse läksid AS-ile Harju Elekter üle kõik Energo Veritas OÜ varad, õigused ja kohustused. Ühinemise bilansipäev oli 1. jaanuar 2026. Kuna tegemist on grupisisese ühinemisega, ei muutu selle tulemusel Harju Elektri konsolideeritud varade, õiguste ja kohustuste seis. Tiit Atso Juhatuse esimees +372 674 7400

Merger of Harju Elekter's subsidiaries has been completed
Message
AS Harju Elekter Group published a stock exchange notice on 2 October 2025 (https://view.news.eu.nasdaq.com/view?id=1391286&lang=en)announcing the start of the merger process of the Group's Estonian subsidiaries- AS Harju Elekter and Energo Veritas OÜ. The merger decisions were adopted on 1 December 2025 and an entry of the merger in the Estonian Commercial Register was made on 16 March 2026. As a result of the merger, AS Harju Elekter became the legal successor to Energo Veritas OÜ, and Energo Veritas OÜ was deleted from the Estonian Commercial Register. Upon registration, all assets, rights and obligations of Energo Veritas OÜ were transferred to AS Harju Elekter. The balance sheet date of the merger was 1 January 2026. As the merger was conducted within the Group, it has no impact on the consolidated financial position of Harju Elekter or on its consolidated rights and obligations.
