Zarząd Spółki FON SE z siedzibą w Tallinnie informuje, że w dniu 20.01.2025 roku właściwy dla prawa Estonii rejestr spółek handlowych (Ariregister) dokonał rejestracji zmian Statutu Spółki wynikających z uchwał podjętych na Zwyczajnym Walnym Zgromadzeniu Akcjonariuszy w dniu 2.01.2025 roku. W związku z powyższym aktualne brzmienie punktu 2.1 i 2.4 Statutu Spółki jest następujące: "2.1. Minimalny kapitał zakładowy spółki to 6 475 000 (sześć milionów czterysta siedemdziesiąt pięć tysięcy) euro, a maksymalny kapitał zakładowy to 25 900 000 (dwadzieścia pięć milionów dziewięćset tysiecy) euro. " "2.4. Minimalna liczba akcji Spółki bez wartości nominalnej to 64 750 000 (sześćdziesiąt cztery miliony siedemset pięćdziesiąt tysięcy) akcji, a maksymalna liczba akcji Spółki bez wartości nominalnej to 259 000 000 (dwieście pięćdziesiąt dziewięć milionów) akcji. W załączeniu do niniejszego raportu Emitent przekazuje aktualne brzmienie Statutu Spółki w polskiej, angielskiej oraz estońskiej wersji językowej.

Registration of amendments to the Articles of Association.

The Management Board of FON SE with its registered office in Tallinn informs that on 20/01/2025, the Commercial Companies Register (Ariregister), competent for Estonian law, registered the amendments to the Company's Articles of Association resulting from the resolutions adopted at the Ordinary General Meeting of Shareholders on 2/01/2025. In connection with the above, the current wording of point 2.1 and 2.4 of the Company's Articles of Association is as follows: "2.1. The minimum amount of share capital of the Company is 6 475 000 (six million four hundred seventy-five thousand) euros and the maximum amount of share capital is 25 900 000 (twenty-five million nine hundred thousand) euros." "2.4 The minimum number of the shares of the Company without nominal value is 64 750 000 (sixty-four million seven hundred fifty thousand) shares and the maximum number of the shares of the Company without nominal value is 259 000 000 (two hundred fifty-nine million) shares." Attached to this report, the Issuer provides the current wording of the Articles of Association in the Polish, English and Estonian language versions.
