Lepingu sõlmimine osaluse omandamiseks

19. mail 2008 sõlmisid AS Aspi (AS Eesti Ehitus 100%line tütarettevõte) ja OÜ Kaurits (AS Aspi 52%line tütarettevõte) eraisikust osanik OÜ Kaurits 14% osaluse müügilepingu, mille tulemusel AS Aspi suurendab oma osaluse OÜs Kaurits 66%ni. Osade omandiõiguse üleminek on lepingu kohaselt 20. mai 2008. Tehingu kohaselt soetab AS Aspi OÜ Kaurits osakapitalist osa nimiväärtusega 840 000 krooni (ligikaudu 53 686 eurot). OÜ Kaurits põhiliseks tegevusalaks on teedeehitus- ja mullatöömasinate renditeenuse osutamine, samuti alltöövõtu korras infrastruktuuri ehitustööde teostamine Eesti Vabariigis. AS Eesti Ehitus kontserni eesmärk osaluse suurendamisel on kohaloleku kasvatamine ehitusseadmete renditurul tegutsevates ettevõtetes. Tehing ei avalda olulist mõju ASi Eesti Ehitus kontserni tegevusele ega ole käsitletav olulise osaluse omandamisena ega tehinguna seotud isikuga NASDAQ OMX Tallinna Börsi Reglemendi osa "Nõuded Emitentidele" tähenduses. AS Eesti Ehitus nõukogu ja juhatuse liikmed ei ole tehingust muul viisil isiklikult huvitatud. AS Eesti Ehitus kontsern hõlmab ettevõtteid, mis on keskendunud hoonete ja rajatiste ehitamise projektijuhtimisele ja peatöövõtule. Geograafiliselt tegutsevad kontserni ettevõtted Eestis, Lätis, Leedus ja Ukrainas. Eestis on täiendavateks tegevusvaldkondadeks lisaks teedeehituse ja -hoolduse ning keskkonnaehituse ja betoonitööde otsetöövõtt. Kontserni emaettevõte on AS Eesti Ehitus, mis on registreeritud ja asub Tallinnas, Eestis. Kontserni kuulub lisaks emaettevõttele üle 20 tütarettevõtte. Kontserni 2007. aasta konsolideeritud müügitulu oli 3,8 miljardit krooni (240 miljonit eurot) ja konsolideeritud puhaskasum 290 miljonit krooni (19 miljonit eurot). AS Eesti Ehitus kontsern annab tööd rohkem kui 1100 inimesele. Conclusion of agreement for the acquisition of shareholding

AS Aspi (wholly owned subsidiary of AS Eesti Ehitus) and a private individual acting as a stakeholder in OÜ Kaurits (a 52 per cent subsidiary of AS Aspi) signed a stake transfer agreement on 19 May 2008. As per agreement AS Aspi acquires a 14 per cent stake in OÜ Kaurits and thereby increases its share to 66 per cent. The transfer of the stake is per agreement on 20 May 2008. As per agreement AS Aspi acquires the stake in OÜ Kaurits with nominal value of EEK 840 000 (approx. EUR 53 686). OÜ Kaurits main activity is renting road and terrain construction machinery and also acting as a subcontractor in infrastructure construction in the Republic of Estonia. AS Eesti Ehitus Group objective in increasing its stake is to increase its presence in the companies acting on the machineries rental market. The transaction does not have material economical effect on the activities of AS Eesti Ehitus Group and does not qualify as an acquisition of significant holding nor a related party transaction within the meaning of “Requirements for Issuers” of the NASDAQ OMX Tallinn Stock Exchange Rules. The members of the supervisory board and management board of AS Eesti Ehitus do not have any personal interests in the incorporation of the company. Eesti Ehitus is a group of construction companies whose core business is general contracting and construction management in the construction of buildings and structures in Estonia, Latvia, Lithuania and Ukraine. In addition, in Estonia our companies act as independent contractors in road construction and maintenance, environmental engineering, the assembly of reinforced concrete elements, and the performance of cast-on-site concrete works. The parent of the Group is AS Eesti Ehitus, a company registered and located in Tallinn, Estonia. In addition to the parent company, there are more than 20 subsidiaries in the Group. The consolidated revenue of the Group in 2007 was 3,8 billion kroons (240 million euros) and the consolidated net profit was 290 million kroons (19 million euros). AS Eesti Ehitus Group employs more than 1100 people.
