Kokkuvõte 19.02.2008.a. toimunud AS Merko Ehitus aktsionäride erakorralisel üldkoosolekul avaldatust. 1. 2007.a. esialgsed auditeerimata majandustulemused. Ettekande esitas aktsiaseltsi juhatuse liige Alar Lagus. Ettekande kokkuvõte on avaldatud AS Merko Ehitus kodulehel (http://www.merko.ee/est/investor/generalmeeting/2008). AS Merko Ehitus 2007.a. esialgsed auditeerimata majandustulemuste andmetel oli AS Merko Ehitus kontserni müügitulu 2007.a. 5520,0 mln krooni ja kasum 544,5 krooni AS Merko Ehitus 2007.a. esialgsed auditeerimata majandustulemused on kättesaadavad AS Merko Ehitus (http://www.merko.ee/investor/reports/interimreports) ja Tallinna Börsi kodulehel (http://www.baltic.omxgroup.com/market/?instrument=EE3100003559&list=2&pg=detail s&tab=reports). Otsuseid päevakorrapunkti osas vastu ei võetud. 2. Eesti ja Baltimaade ehitusturu perspektiivne areng lähiaastatel ja AS-i Merko Ehitus positsioon. Ettekande esitas aktsiaseltsi juhatuse esimees Tõnu Toomik. Ettekande kokkuvõte on avaldatud AS Merko Ehitus kodulehel (http://www.merko.ee/est/investor/generalmeeting/2008). Otsuseid päevakorrapunkti osas vastu ei võetud. 3. AS-le Merko Ehitus esitatud kahtlustuse õiguslik analüüs. Ettekande esitas vandeadvokaat Leon Glikman. Ettekande kokkuvõte on avaldatud AS Merko Ehitus kodulehel (http://www.merko.ee/est/investor/generalmeeting/2008). Otsuseid päevakorrapunkti osas vastu ei võetud. 4. Kriminaalmenetluse mõjust AS-le Merko Ehitus. Ettekande esitas aktsiaseltsi nõukogu esimees Toomas Annus. Toomas Annuse ettekande kohaselt mõjutab kriminaalmenetluse venima jäämine ettevõtte konkurentsivõimet ja positsiooni turul. Peamiste mõjuteguritena tõi Annus esile potentsiaalsete lepingupartnerite ja ametnikkonna ettevaatlikkuse, mille tõttu on raskendatud planeeritavate projektide käivitamine. Esmajoones on uute klientide puhul see tunda väljaspool Eesti turgu, kus Merko Ehituse juhte ja ettevõtte ajalugu ei tunta nii hästi. Paralleelselt on Merko Ehituse juhtkond sunnitud tegelema kahtlustusega ning ei saa keskenduda 100% põhitegevusele. Annus kinnitas, et ettevõtte on huvitatud võimalikult kiirest lahendist, kuid ei tee mingeid kompromisse kaitsepositsiooni efektiivsuse arvelt. Otsuseid päevakorrapunkti osas vastu ei võetud. 5. Kriminaalmenetluse läbiviimisega aktsionäridele tekitatud ja tekkivate kahjude hindamine ja võimaliku kahjunõude suurus. Toomas Annus selgitas aktsionäridele, et võimaliku kriminaalmenetlusega kaasnev võib pikemas perspektiivis kahjustada ettevõtte konkurentsivõimet, mis varem või hiljem kajastub ka ettevõtte aktsia hinnas. Perioodil oktoober 2006 kuni veebruar 2008 on Merko Ehituse aktsia hind langenud ~7,75 EUR/aktsia kohta ehk kokku 2 140 000 000 krooni. Hinnalangust analüüsinud SEB Enskilda jõudis järeldusele, et hinnalangusest 57% ehk 1 220 000 000 krooni on tingitud turulangusest ning 920 000 000 krooni ehk 43% on majandustulemuste ja maadevahetusega seotud uudiste koosmõjust tulenev ettevõttespetsiifiline langus. Mingeid nõudeid riigi või mõne konkreetse institutsiooni vastu esitatud ei ole ja enne põhjalikku juriidilist analüüsi seda ka ei tehta. Kõik spekulatsioonid võimalike nõuete osas ajakirjanduse vastu on pahatahtlik laim, millel ei ole Merko Ehituse kavatsustega mingit pistmist. Otsuseid päevakorrapunkti osas vastu ei võetud. A legal analysis of criminal proceedings launched against AS Merko Ehitus. A presentation was given by attorney at law Mr Leon Glikman. About the effects of the criminal proceedings on AS Merko Ehitus. A presentation was given by the chairman of the supervisory board Mr Toomas Annus. According to Toomas Annus's presentation the dragging on of the proceedings have an effect on the company's position and its ability to compete on the market. As main factors he pointed out the guardidness of contractual partners and public officials which greatly inhibit the commencement of planned projects. First and foremost this is felt on new clients outside Estonia where Merko Ehitus' management and company history are not as well known as in Estonia. At the same time the management of Merko Ehitus is forced to deal with the suspicisons raised and can not concentrate 100% on its day-to-day business. Annus assured the shareholders that the company is interested in the fastest resolve to the situation as is possible, but will not make amends with the effectiveness of its legal defense. There were no decisions adopted regarding the agenda item. 5. The appraisal of damages that have been, and are continuing to be caused to shareholders by the launch of the criminal proceedings and the extent of the possible demand for compensation. Mr Toomas Annus described to the shareholders that the implications of a possible criminal proceeding may, in the long-term perspective, disrupt the company's ability to compete for projects on equal terms, which will sooner or later reflect on the share price. In the period between October 2006 until February 2008, the share price of Merko Ehitus has dropped approximately 7.75EUR/share, all together approximately 136.8 million EUR (2.14 billion EEK). SEB Enskilda who have analyzed the price drop have come to the conclusion that 57% or 78.0 million EUR (1.22 billion EEK) of the loss has been due to the market downturn, and 43% or approximately 58.8 million EUR (920 million EEK) are the company-specific losses resulting from the economic performance of the company and the prolonged public proceeding regarding the landswaps. No claims against the state or any specific institution have been launched or will be, before a thorough legal analysis. All speculation regarding possible claims against the media is malice, which has no basis in Merko Ehitus' intentions. There were no decisions adopted regarding the agenda item.
