Q Vara aktsiate hoiustamise kommentaar

Vastavalt 14. detsembril 2007 avalikustatud börsiteatele esitab Q Vara samal päeval toimunud aktsiate hoiustamise tehingu üksikasjad. Tehingu raames leppisid Alo Lillepea, Ivo Lillepea, Jürgen Järvik ja Carmen Kass kokku selles, et Alo Lillepea ja Ivo Lillepea omandavad 100% OÜ SLProductions osadest ning OÜ SLProductions omandab 100% Q Vara sõsarettevõtte OÜ Q Capital osadest. OÜ'l SLProductions on OÜ Q Capital osade omandamise tehingu lõpuni viimiseks aega 31. maini 2008. Juhul kui selleks ajaks osade ostutehingut toimunud pole, ennistatakse endine olukord. Sama kokkuleppe alusel vormistatakse Jürgen Järviku ja Carmen Kassi valdusettevõtte OÜ Marine Systems nimele 50% suurune osalus Q Vara AS's. Varem kuulus 88,1% Q Vara aktsiatest OÜ'le SLProductions ja 11,9% aktsiatest OÜ'le Marine Systems, kuid osaliselt kuulus Q Vara osalus Jürgen Järvikule ja Carmen Kassile läbi OÜ-u SLProductions. Seega vaatamata sellele, et Q Vara aktsiaid omavate valdusettevõtete osalused muutuseid jäid grupi lõplikud omanikud ning nende osaluste suurused samaks. Tehingute läbiviimise tagamiseks deponeeriti 38% Q Vara aktsiatest ning 50% Q Capital OÜ osadest notar Aivar Mesikäpa väärtpaberikontol. Comment on depositing Q Vara's shares

According to Q Vara AS's announcement from December 14, 2007 the details about depositing Q Vara's shares are hereby disclosed. On December 14, 2007 Alo Lillepea, Ivo Lillepea, Jürgen Järvik and Carmen Kass agreed that Alo Lillepea and Ivo Lillepea will become the owners of 100% of OÜ SLProductions and that OÜ SLProductions purchases 50% of OÜ Q Capital's shares from OÜ marine Systems and as a result will become 100% owner of OÜ Q Capital. OÜ SLProductions has a right to complete the purchase transaction of OÜ Q Capital's shares by May 31, 2007. In case the purchase transaction is not finalized by then the previous situation will be restored. According to the same transaction the holding company of Jürgen Järvik and Carmen Kass - OÜ marine Systems - will become directly the owner of 50% of AS Q Vara's shares. Previously OÜ SLProductions owned 88,1% and OÜ Marine Systems owned 11,9% of Q Vara but Jürgen Järvik and Carmen Kass held part of their ownerhip in Q Vara through OÜ SLProductions. As a result different holding companies' shares changed but the structure of the final owners of AS Q Vara remained the same. In order to secure the transactions 38% of Q Vara AS's shares and 50% of OÜ Q Capital's shares were deposited on notary Aivar Mesikäpp's security account.
