Olulise lepingutingimuse täitumine

AS Eesti Ehitus (“Eesti Ehitus”) sõlmis 19. oktoobril 2007. a lepingu, mille kohaselt Eesti Ehitus ostab 15 eraisikult ja ühelt äriühingult (“Müüjad”) kokku 5 203 Aktsiaseltsi Eston Ehitus (“Eston Ehitus”) aktsiat, mis moodustavad 52 % Eston Ehituse aktsiakapitalist (vt ka Eesti Ehituse börsiteade 19.10.2007 - 15:46). Eston Ehituse aktsiate eest tasutav summa on kokku 187 235 158 krooni (11 966 508 eurot), mis moodustab 35 986 krooni (2 300 eurot) iga ostetava aktsia kohta. Eesti Ehitus kannab igale Müüjale ülekandmisele kuuluva ostuhinna hiljemalt 11. jaanuaril 2008. a, tingimusel, et kõik võõrandatavad aktsiad, so 5 203 Eston Ehituse aktsiat, on laekunud Eesti Ehituse väärtpaberikontole. 23. novembril 2007 laekus 5203 Eston Ehituse aktsiat Müüjatelt AS Eesti Ehitus väärtpaberikontole. On 19 October 2007, AS Eesti Ehitus (“Eesti Ehitus”) concluded a agreement under which it undertook to buy a total of 5,203 shares in AS Eston Ehitus (“Eston Ehitus”). The shares which account for 52% of the share capital of Eston Ehitus will be purchased from 15 individuals and a company (the "Sellers") (see also Eesti Ehitus' stock exchange release of 19 October 2007 - 15:46). The amount payable for the shares in Eston Ehitus equals 187,235,158 kroons (11,966,508 euros),i.e. 35,986 kroons (2,300 euros) per share. Eesti Ehitus undertook to transfer the purchase price to each seller on 11 January 2008 at the latest, provided that by that time all transferable shares, i.e. 5,203 shares in Eston Ehitus, have been transferred to the securities account of Eesti Ehitus. On 23 November 2007, the Sellers transferred 5,203 shares in Eston Ehitus to the securities account of Eesti Ehitus.
