Registration of amendments to the Articles of Association – Bonus Issue

Message

The Management Board of Investment Friends SE with its registered office in Tallinn informs that on 31.01.2024 the Commercial Companies Register (Ariregister) competent for Estonia’s law registered an increase in the share capital of Investment Friends SE resulting from the resolutions adopted at the Ordinary General Meeting of Shareholders on 11/01/2024 .
In connection with the above, the current wording of point 2.1 and 2.4 of the Company’s Articles of Association is as follows:
„ 2.1.The minimum amount of share capital of the Company is 6 885 000 (six million eight hundred eighty-five thousand) euros and the maximum amount of share capital is 27 540 000 (twentyseven million five hundred forty thousand) euros.” “
2.4 The minimum number of the shares of the Company without nominal value is 68 850 000 (sixty-eight million eight hundred fifty thousand) shares and the maximum number of the shares of the Company without nominal value is 275 400 000 (two hundred seventy-five million four hundred thousand) shares.”

Currently, the share capital of Investment Friends  SE amounts to EUR 6 885 000  and is divided into 68 850 000 stare without par value with a book value of EUR 0,10 each.
