AS-i LHV Group allutatud võlakirjade ennetähtaegse lunastamise (sh nimekirja fikseerimise päeva ja lunastamispäeva) teade
Message
AS LHV Group teatab, et on otsustanud ennetähtaegselt lunastada 28.11.2018 emiteeritud allutatud võlakirjad, mis on registreeritud ISIN koodiga EE3300111558 (edaspidi LHV Group 2028 allutatud võlakirjad). Ennetähtaegne lunastamine toimub kooskõlas LHV Group 2028 allutatud võlakirjade põhiprospekti ja selle lisade, võlakirjatingimuste ning esimese ja teise pakkumise lõplike tingimustega, mille kohaselt on täielik või osaline ennetähtaegne lunastamine lubatud pärast 28.11.2024, investoreid sellest vähemalt 30 päeva ette teavitades ning finantsjärelevalveasutuse eelneval nõusolekul. Euroopa Keskpank on 23.10.2023 otsustanud LHV Group 2028 allutatud võlakirjade ennetähtaegseks lunastamiseks nõusoleku anda. Ennetähtaegselt lunastatakse kõik 40 000 LHV Group 2028 allutatud võlakirja nimiväärtusega 1000 eurot, koguväärtuses 40 000 000 eurot, mis esimese ja teise pakkumise raames emiteeriti. Võlakirjaomanikele makstakse lunastusmaksena välja vastavate võlakirjade nimiväärtus ning lunastamise teostamise päevaks arvestatud ja tasumata intressid. Investorile väljamakstav summa ühe võlakirja kohta on 1015 eurot. Lunastamise teostamise päev (payment date) on 28.11.2023 ning võlakirja omanike nimekiri fikseeritakse (record date) 27.11.2023 Nasdaq CSD arveldussu?steemi tööpäeva lõpu seisuga. Announcement of Premature Redemption (incl. Record Date and Payment Date) of LHV Group T2 Subordinated Bonds
Message
AS LHV Group announces its decision to prematurely redeem the subordinated bonds issued on 28 November 2018, registered under ISIN code EE3300111558 (hereinafter LHV Group 2028 Subordinated Bonds). The early redemption is carried out in accordance with the Base Prospectus and its supplements, the Terms and Conditions and the Final Terms of the 1st and 2nd Series of the LHV Group 2028 Subordinated Bonds, according to which the bonds may be prematurely redeemed , in whole or in part, after 28 November 2023 provided that the investors are notified at least 30 days in advance and with the prior consent of the financial supervision authority. The European Central Bank has approved its consent for the premature redemption of the LHV Group 2028 Subordinated Bonds on 23 October 2023. All 40,000 of the AS LHV Group 2028 Subordinated Bonds under Series 1 and 2 with a nominal value of EUR 1,000 and total value of EUR 40,000,000 will be subject to premature redemption. As a redemption payment, the bondholders will receive the nominal value of their respective bonds along with any accrued interest up to the redemption due date which is 28 November 2028. The amount payable to the investor for one bond shall be EUR 1,015. The payment date shall be 28 November 2023 and the list of bondholders will be fixed at the end of the working day of the Nasdaq CSD Settlement System on 27 November 2023 (the record date).
