Aktsiakapitali vähendamise registreerimine äriregistris ja väljamaksed

?? 23. septembril 2019 kanti äriregistrisse AS-i Silvano Fashion Group aktsiakapitali vähendamine 19. juunil 2019 toimunud aktsionäride erakorralise koosoleku otsuse alusel. Aktsionäride erakorralise koosoleku otsuse kohaselt otsustati vähendada AS-i Silvano Fashion Group aktsiakapitali 3 600 000 euro võrra 7 200 000 eurolt 3 600 000 euroni olemasolevate aktsiate nimiväärtuse vähendamise teel 0,10 euro võrra iga aktsia kohta ehk 0,20 eurolt 0,10 eurole. Aktsiaseltsi aktsiate koguarv ei muutu ning aktsiate arvestuslik väärtus väheneb võrdeliselt aktsiakapitali vähendamisega. Aktsiakapitali vähendamise tulemusena on AS-i Silvano Fashion Group aktsiakapitali suurus 3 600 000 eurot. Aktsiakapitali vähendamine summas 3 600 000 eurot (0,10 eurot aktsia kohta) makstakse välja aktsionäridele 27. septembril 2019. AS-le Silvano Fashion Group kuuluvate oma aktsiate eest aktsiaseltsile väljamakseid ei tehta. Aktsiate arvestusliku väärtuse vähendamisest tulenevate väljamaksete saamiseks õigustatud aktsionäride nimekiri fikseeriti 04. juulil 2019 a. arveldussüsteemi tööpäeva lõpu seisuga. Registration of share capital reduction in the Commercial Register and disbursements

On 23 September 2019 the decrease of the share capital of AS Silvano Fashion Group was registered in the Commercial Register based on the resolution adopted by the extraordinary meeting of shareholders held on 19 June 2019. In accordance with the resolution of the extraordinary shareholders' meeting, it was decided to reduce the share capital of AS Silvano Fashion Group by EUR 3,600,000 from EUR 7,200,000 to EUR 3,600,000 by reducing the nominal value of existing shares by EUR 0.10 or EUR 0.20 to EUR 0.10. The total number of the shares of the company will not change and the book value of shares shall be reduced proportionately to the reduction of the share capital. As a result of the decrease of the share capital, the share capital of AS Silvano Fashion Group will be 3 600 000 euros. The share capital reduction in the amount of 3 600 000 euros (0.10 euro per share) will be paid out to the shareholders on 27 September 2019. For the own shares owned by AS Silvano Fashion Group no payments shall be made to the company. The list of shareholders entitled to receive the payments from the reduction of the share capital was fixed on 4 July 2019 at the end of the working day of the settlement system.
